The Corporation established}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) There is hereby established a corporation to be called the Broadcasting Corporation of Niue. \par \par (2) The Corporation shall be a body corporate with perpetual succession and a common seal, and shall be capable of acquiring, holding, and disposing of real and personal property, of suing and being sued, and of doing and suffering all such acts and thing s as bodies corporate may do and suffer. \par \par (3) All courts judges and persons acting judicially shall take judicial notice of the imprint of the seal of the corporation appearing on a document and shall presume that the document was duly sealed. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 6. Services of Corporation}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - On the commencement of this Act, the Corporation shall maintain the following services }{\fs24\lang2057\langfe1033\langnp2057\insrsid16463726 -}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) The existing Service called Radio Sunshine; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) The existing Service called Television Niue; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (c) Such other services as the Corporation may from time to time establish. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par Provided that Cabinet may, on the recommendation of the Corporation, approve the disestablishment of any of the services mentioned in paragraphs (a) and (b) of this section. \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par 7. Functions and powers of the Corporation}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The f unctions of the Corporation are to provide national broadcasting services for Niue, and if so directed by Cabinet to places outside Niue, which - \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par (a) serve as far as practicable, all the people of Niue; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (c) preserve and stimulate pride in the indigenous culture and traditions of the people of Niue; and \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (d) consist of a variety of programmes which inform, educate and entertain. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par (2) Subject to the provisions of this Act the Corporation has power to do all things necessary or convenient to be done for or in connection with the performance of its functions and, in particular has power - \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) to enter into contracts; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (e) to appoint agents and attorneys, and to act as agent for other persons; Government policy}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) In the exercise of its functions and powers under this Act the Corporation shall have regard to the general policy of the Government in relation to broadcasting or to the functions and powers of the Corporation as that policy is communicated to the Corporation from time to time by Cabine t, and shall comply with any directions given by Cabinet to the Corporation by notice in writing pursuant to any such policy. \par \par (2) Nothing in sub-section (1) authorises Cabinet to give a direction in respect of - \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) a particular programme; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) the gathering or presentation of news or the preparation or presentation of current affairs programmes; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (c) contracts for the provision of programmes; or \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (d) the staffing of the Corporation. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par 9. Programme functions and powers of Corporation}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - The programme functions and powers of the Corporation shall be }{\fs24\lang2057\langfe1033\langnp2057\insrsid16463726 -}{ \fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) To ensure that each Service operates as a public service to provide and produce programmes which inform, educate, and entertain. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) To establish a system for the gathering of news for televis ion, and a system for the gathering of news for radio; and to make such news available for tile services; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (c) To negotiate for and purchase or otherwise acquire programmes, and rights or privileges in respect of sports fixtures and other events, occasions , meetings, functions, or incidents of public interest for broadcast by the Services, and to establish procedures for the allocation of such programmes, rights, or privileges to the Services; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (d) From time to time conduct or commission programme, audience research, market, or technical surveys, which may be released to such persons and in such manner and on such terms and conditions as the Corporation thinks fit. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 10. Board of Directors}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The Corporation shall be governed by a Board of Directors consis ting of the following Directors: \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) Four persons appointed in accordance with subsection 2 of this section; Term of office of appointed directors}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) Every di rector appointed under section 10(2) of this Act shall be appointed for a term of three years. \par \par (2) Subject to section 12 of this Act every appointed director shall continue to hold office until his successor comes into office. \par \par (3) Every appointed director may from time to time be reappointed. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 12. Chairman}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) Cabinet shall from time to time appoint one of the Directors specified under section 10(1)(a) of this Act to be the Chairman of the Board. \par \par (2) The Chairman shall hold office as such for a period of three years from the date of his appointment unless he sooner ceases to be a director, and may be reappointed as such. \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par 14. Remuneration of directors}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - Every director shall be paid such fees as may from time to time be fixed by Cabinet by regulations made under this Act. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 15. Meeting's of directors}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The first meeting of the directors shall be held on a day to be appointed by Cabinet. \par \par (2) Meetings of directors shall be held at least once every two months at such times and places as the Chairman or the directors appoint. \par \par (3) The Chairman shall call a meeting whenever required to do so in writing by any three directors. \par \par (4) At any meeting five directors shall form a quorum. \par \par (5) The Chairman shall preside at every meeting at which he is present. \par \par (6) If the Chairman is for any reason absent from a meeting, the directors present shall elect one of their number to preside at that meeting. \par \par (7) In the absence from any meeting of a director ex officio, he may authorise any other officer of his department or (in the case of the General Manager) of the Corporation to attend the meeting in his place. Any officer so authorised shall be deemed for all purposes to be a director of the C orporation when he so attends that meeting. \par \par (8) At every meeting, the Chairman or other person presiding shall have a deliberative vote and in the case of an equality of votes, he shall also have a casting vote. \par \par (9) Every question arising at a meeting shall be decided by a majority of the votes recorded on the question. \par \par (10) Subject to the other provisions of this Act, the Board may regulate its procedure in such manner as it thinks fit. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 16. Leave of absence}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - The Board may grant leave to a director to b e absent from a meeting of the Board upon such conditions as to remuneration or otherwise as the Board thinks fit. \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par 17. Disclosure of interests}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) A director who has a direct or indirect pecuniary interest to a matter being considered or about to be cons idered by the Board shall, as soon as possible after the relevant facts have come to his knowledge, disclose the nature of his interest at a meeting of the Board. \par \par (2) A disclosure under subsection (1) of this section shall be recorded in the minutes of the meeting of the Board and the director shall not - \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) be present during any deliberation of the Board with respect to that matter; or \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) take part in any decision of the Board with respect to that matter; or \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (c) in any way influence any decision of the Board. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par (3) Notwithstanding subsection (2) (a) of this section, the director shall be counted as present for the purpose of forming a quorum of the Board for any such deliberation or decision. \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par 18. Directors not personally liable}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - No director of the Co rporation shall be personally liable for any act done or default made by the Corporation or by any of its members in good faith in the course of its operations. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 19. Contracts by the Corporation}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) Contracts on behalf of the Corporation may be made as follows:- \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) Any contract which, if made between private persons, must be by deed shall, if made by the Corporation, be in writing under the common seal of the Corporation; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) Any contract which, if made between private persons, must be in writi ng signed by the parties to be charged therewith shall, if made by the Corporation, be in writing either under the common seal of the Corporation or signed by any person on behalf and by direction (either general or specific) of the Corporation; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (c) Any c ontract which, if made between private persons, may be made orally, may if made by the Corporation, be made orally by any person on behalf and by direction (either general or specific) of the Corporation; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par Provided that so far as reasonably practicable, contracts of the Corporation shall be made in writing. \par \par (2) The common seal of the Corporation shall not be affixed to any document except in pursuance of a resolution of the Board and the execution of any document so sealed shall be attested by two directors. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 20. Committees}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The Corporation may from time to time appoint committees consisting of any directors or officers of the Corporation. \par \par (2) Subject to the other provisions of this Act and to any directions given to it by the Corporation, every committee may regulate its procedure in such manner as it thinks fit. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 21. Delegation of powers}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The Corporation may from time to time delegate to any of its committees, or to the General Manager, or to any other officer of the Corporation any of its powers under this Act, including this present power of delegation. \par \par (2) Subject to any general or specific directions given to it or to him by the Corporation, any committee or person to whom any powers are so delegated may exercise those powers in the same manner and with the same effect as if they had been conferred on} {\fs24\lang2057\langfe1033\langnp2057\insrsid12329607 }{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 it or him directly by this Act and not by delegation. \par \par (3) Any committee or person purporting to act under any delegation under this section shall be presumed, until the contrary is proved, to be acting in accordance with the terms of the delegation. \par \par (4) Every such delegation shall be revocable at will, and no such delegation shall prevent the exercise of any power by the Corporation itself. \par \par (5) Until any such delegation is revoked, it shall continue in force according to its tenor, notwithstanding any change in the membership of the Corporation or of any committee. \par \par }\pard \qc \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 PART III - PERSONNEL \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 22. General Manager}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The Board, shall from time to time appoint a General Manager of the Corporation, for such period (not exceeding five years) as may be specified in the appointment, and on such terms and conditions as may be determined by the Board. \par \par (2) The General Ma nager shall be the administrative head of the Corporation, and shall be responsible to the Corporation for the effective and efficient execution of the Corporation's functions. In carrying out his duties, he shall follow any general or special directions given to him by the Corporation. \par \par (3) The General Manager may from time to time be reappointed. \par \par (4) All remuneration and other allowances and expenses payable to the General Manager shall be paid out of the funds of the Corporation. \par \par (5) The General Manager shall not engage in any other business or occupation without the prior written consent of the Corporation. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 23 Corporation employees}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The Corporation may from time to time employ such officers and employees as it considers necessary for the performa nce of its functions, on such terms and conditions as provided under section 24 of this Act, and may at any time remove any such officer or employee from his office or employment. \par \par (2) For the purposes of Article 62 of the Niue Constitution the General Manager and other employees of the Corporation shall not be regarded as members of the Niue Public Service. \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par 24. Application of the Niue Public Service terms and conditions}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The Corporation shall, with any necessary modifications, apply the terms and con ditions applicable from time to time to the Niue Public Service, to the remuneration and conditions of employment of the employees of the Corporation in the same manner as they apply to the remuneration and conditions of employment of employees in the Niu e Public Service. \par \par (2) Notwithstanding Subsection (1) of this section the Corporation may, with the express approval of Cabinet, apply to its employees}{\fs24\lang2057\langfe1033\langnp2057\insrsid12329607 '}{ \fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 terms and conditions more favourable than those applicable to the Niue Public Service. \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \qc \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 PART IV - FINANCIAL PROVISIONS \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 25. Capital}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The capital of the Corporation shall be $266,000 to be made up as follows - \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) As to the amount of $190,000 representing a book value of all the assets of Radio Sunshine and Television Niue as of 31 March 1989. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) A cash grant of $76,000 to be made by the Government of Niue to the Corporation on the commencement of this Act. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par (2) The Corporation may from time to time, by resolution and with the concurrence of the Minister, rec ommend to Cabinet that the capital of the Corporation be increased, and in any such case Cabinet, on the advice of the Minister of Finance, may, by Order, increase the capital of the Corporation to such amount as may be prescribed in that Order. The amoun t of any such increase shall be paid to the Corporation by the Minister of Finance, from money appropriated by the Assembly for that purpose. \par \par (3) The whole of the capital of the Corporation for the time being shall be deemed to be vested in the Crown. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 26. Disposition of profits}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The Corporation shall establish a Reserve Fund into which shall be paid the annual surplus of the Corporation. \par \par (2) The annual surplus shall consist of so much of the annual income of the Corporation \par as is not required for the payment of expenses, including staff, salaries, and allowances; provision for previous}{\fs24\lang2057\langfe1033\langnp2057\insrsid10244581 losses, bad and doubtful debts;}{ \fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 depreciation of assets; and all such other matters as the Corporation considers proper. \par \par (3) During the first two years after the date of commencement of this Act the whole of the annual surplus shall be paid into the Reserve Fund. \par \par (4) During subsequent years the Corporation shall declare a dividend on the capital of the Corporation of such amount as may be fixed in that behalf by the Minister of Finance, after consultation by him with the Corporation: \par \par Provided that the Minister of Finance, having regard to the financial position of the Corporation, may in any financial year determine that no dividend shall be payable by the Corporation in respect of that year. \par \par (5) The amount of any dividend declared by the Corporation under this section shall be paid into the Niue Government Account. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 29. Advances to Corporation}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) Cabinet may from time to time - \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) Advance money to the Corporation; or \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) Give in respect of any advance made to the Corporation by any other person any guarantee , indemnity, or security on and subject to such terms and conditions as Cabinet thinks fit. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par All money required to be paid by Cabinet under subsection (1) (a) of this section shall be paid out of the Niue Government Account as appropriated by the Assembly for that purpose. \par \par (2) All money required by Cabinet under subsection (1) (a) of this section shall be paid out of the Niue Government Account as appropriate by}{\fs24\lang2057\langfe1033\langnp2057\insrsid12329607 the Assembly for that purpose.}{ \fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par \par (3) Cabinet may from time to time, enter into agreements with the Corporation for the purposes of giving full effect to this section. \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par 30. Investment of excess funds}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - Any excess funds of the Corporation may from time to time be invested on deposit in any bank approved by the Board. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 31. Annual estimates}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The Co rporation shall, for each financial year, prepare an estimate, in a form approved by the Minister of Finance, of the amount of expenditure for all purposes, and tile receipts of the Corporation. \par \par (2) The estimates so prepared shall be submitted to the Mini ster not later than such date as the Minister directs, for the approval of such estimates by Cabinet, and tile funds of the Corporation shall not be expended otherwise than in accordance with estimates of expenditure so approved. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 32. Accounts and records}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - The Corporation shall cause to be kept proper accounts and records of the transactions and affairs of the Corporation and shall do all things necessary to ensure that all payments out of its funds are correctly made and properly authorised and that adeq uate control is maintained over the assets of or in the custody of the Corporation and over the incurring of liabilities by tile Corporation. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 33. Audit}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - The accounts and records of financial transactions of tile Corporation shall be audited annually by the Government Auditors and a report of the audit shall be furnished to the Corporation and Cabinet. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 34. Responsibility of Corporation for programme standards}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) Subject to any advice that the Corporation may from time to time receive from the Programme Advisory Committee pursuant to section 13 of the Communications Act 1989, the Corporation shall be responsible for maintaining, in its programmes and their p resentation, standards which will be generally acceptable in the community, and in particular it shall have regard to - \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) The provision of a range of programmes which will cater in a balanced way for the varied interests of different sections of the community; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) The needs to ensure as far as practicable, that a Niuean identity is developed and maintained in the services; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (c) The observance of standards of good taste and decency; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (d) The accurate and impartial gathering and presentation of news, accor ding to recognised standards of objective journalism; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (e) The principle that when controversial issues of public importance are discussed, reasonable efforts are made to present significant points of view either in the same programme or in other programmes within the period of current interest; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (f) The maintenance of law and order; and \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (g) The privacy of the individual; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par (2) In ensuring compliance with subsection (1)(c) of this section, the Corporation shall be guided by such guidelines as are applied fr om time to time by the Censor of Films pursuant to the Films and Public Entertainment Act 1979, notwithstanding section 3(3) of this Act. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 36. Advertisements}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - Notwithstanding section 12(1)(a) of the Communications Act 1989 the Corporation shall be empowered to transmit advertisements through any of its services: \par \par Provided that in making such transmissions the Corporation shall take into account Cabinet's policies on matters of advertising and shall further take into account any guidelines established by th e Programme Advisory Committee pursuant to section 13(5) of the said Communications Act. \par \par }\pard \qc \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 PART VI - MISCELLANEOUS \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 37. Power to require certain transmissions}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) When required to do so by the Minister, the Corporation shall make the service available to transmit any programme the Minister with Cabinet's approval, considers to be in the national interest. \par \par (2) The Corporation shall not be obliged to make the service available under subsection (1) of this section for more than 1 hour in any one day. \par \par (3) During any period of national emergency proclaimed under section 2 of the Public Emergency Act 1979 - \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) the limitation referred to in subsection (2) of this section shall not apply; and \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) the Corporation shall make the service available to authorised o fficers of the Government to transmit such matter as the Minister with Cabinet's approval, considers necessary. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par (4) The power of the Minister under subsection (1) of this section does not include the power to require the Corporation to transmit any programme or other matter that could reasonably be interpreted as promoting or opposing - \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) a candidate in an election; or \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) a particular point of view in relation to an issue or matter that is being submitted to the electorate in an election. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 38. Power of Corporation to charge fees}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) The Corporation may from time to time, recommend to Cabinet the level of fees that the Corporation would charge for any of its services. \par \par (2) Subject to Cabinet's approval, the fees to be charged shall be made by Cabinet by regulations pursuant to section 40 of this Act. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 39. Contracts for provision of services and programmes}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - The Corporation may from time to time enter into such contracts and make such arrangements as it thinks fit with any person who, subject to the ter ms and conditions of any such contract or arrangement, will produce programmes or parts of programmes to be broadcast by the Corporation. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 40. Regulations}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - Cabinet may, from time to time on the recommendation of the Corporation, make regulations necessary for carrying out or giving full effect to the provisions of this Act. \par \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 41. Corporation not to be taxed}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - The Corporation shall, for a period of ten years from the date of commencement of this Act, not be liable to income tax, customs duty, or any other taxation or duty. \par \par }\pard \qc \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 PART VII - TRANSITIONAL PROVISIONS \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 42. Transfer of assets to Corporation}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) On the commencement of this Act all assets of both Radio Sunshine and Television Niue existing as of 31 March 1989 and all future assets whether purchased by the Corporation or by the Government of Niue, or other donor, organisation shall vest with the Corporation as trustees of such assets on behalf of the Government. \par \par (2) For the purposes of subsection (1) of this section the term }{\fs24\lang2057\langfe1033\langnp2057\insrsid16463726 "}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 assets}{\fs24\lang2057\langfe1033\langnp2057\insrsid16463726 "}{ \fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 shall include - \par \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (a) all equipment, machinery, vehicles, office furniture and stationery; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (b) all premises occupied by both Radio Sunshine and Television Niue including fixtures to such premises; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (c) all subscriber contracts and rights and obligations under such contracts; and \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (d) all video tapes, films, records, tapes and other recordings or materials including the copyrights subsisting on any such video tapes, films, records, tapes and other recordings or materials; \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }\pard \ql \li720\ri0\widctlpar\faauto\adjustright\rin0\lin720\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 (e) all monies held or collected by the Government for television services up to 31 March 1959. \par }\pard \ql \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 43. Personnel}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - (1) Notwithstanding sections 22 and 23 of this Act the Corporation may, on the commencement of this Act, employ the General Manager and other employees on a secondment basis from the Niue Public Se rvice, on such arrangements as agreed upon with the Niue Public Service Commission: \par \par Provided that the Corporation shall have the sole discretion as to which employees of the Niue Public Service are to be engaged on such basis. \par \par (2) During the term of such employment the General Manager and other staff shall come under the full control of the Corporation notwithstanding the continuance of their status as members of the Niue Public Service. \par }{\b\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par 44. Pre-incorporation contracts}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 - All contracts, agreements or othe r arrangements entered into by the Government of Niue with any other organisation, body, or persons regarding the provision of programmes or other services for Television Niue or Radio Sunshine shall be deemed to have been duly made and entered into by th e Corporation and all such contracts, agreements or other arrangements shall be binding on the Corporation. \par \par }\pard \qc \li0\ri0\widctlpar\faauto\adjustright\rin0\lin0\itap0\pararsid2232980 {\fs24\lang2057\langfe1033\langnp2057\insrsid12329607 ------------------------------------}{\fs24\lang2057\langfe1033\langnp2057\insrsid2232980\charrsid15875958 \par }}
