\par The plaintiff seeks an order for specific performance of the contract and damages for delay. The sublease according to the plaintiff should have been executed by the defendant in February, 1980. There has been
 a delay of over 5 years and there has been, the plaintiff alleges, escalation in costs. The sublease was for the purposes of providing another bowling}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid12935788  }{\rtlch\fcs1 \af0 \ltrch\fcs0 
\insrsid10578664\charrsid13303986 green, a purpose which was known to the defendant council.
\par There can be no doubt that the council was aware of the purpose because one of the covenants in the proposed sublease is that the land is to be used as a bowling green. The additional green will have to be constructed.

A most unsatisfactory aspect of this case is that the plaintiff prepared a sublease at the request of the Council incorporating all the covenants and conditions required

The correspondence indicates that the lease was sent by the Council to its solicitors. The Council did not disclose the existence of this document in the affidavit}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid6307180  }{\rtlch\fcs1 \af0 \ltrch\fcs0 
\insrsid10578664\charrsid13303986 sworn by the Town Clerk.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid13303986\charrsid13303986  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 It was a highly relevant document}{\rtlch\fcs1 \af0 \ltrch\fcs0 
\insrsid6307180  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 and should have been disclosed.
\par The lease documents have not been produced by the}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid6307180  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 Council.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid13303986\charrsid13303986  }{\rtlch\fcs1 \af0 
\ltrch\fcs0 \insrsid10578664\charrsid13303986 It must be assumed that either the documents}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid6307180  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 
have been lost or destroyed by the Council or it has knowledge of their whereabouts and refuses to state where it is or to produce it.
\par As an argument for not granting an order for specific perfor}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16459091 mance the Council through Mr Ali}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 
 now argues that the terms of the sublease are not known and can not be ascertained by the Court.
\par }\pard \ltrpar\s39\ql \li0\ri0\sb240\sa240\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid8350920 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 
Fortunately, for justice to be done, that argument can not prevail. All the terms and conditions of the sublease are known and can be readily ascertained.
\par Virtually all the terms of the sublease are contained in the Council}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid13303986\charrsid13303986 '}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 
s letter dated 5th October, 1979 to the president of the plaintiff club and attached draft of the covenants which the Council required to be inserted in the sublease.
\par The land can be identified, the rental and the term has been agreed. The Council has directed which covenants it required inserted in the sublease. The land has been surveyed and the plan accepted and lodged under DP No 5025.
\par The amendments required by the Director of Lands are contained in Mr Rabo}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid13303986\charrsid13303986 '}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 
s letter of the 15th February 1980 written on behalf of the Director of Lands to the Town Clerk. Mrs Freeman, the Secretary of the Club incorporated those ame
ndments in the final sublease which she retyped, had executed by the Club officials, and sent to the Town Clerk for execution by the Council.
\par }\pard \ltrpar\s39\ql \li0\ri0\sb240\sa240\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid9505351 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 Mr Ali stated that the four cases referred to by}{

ed with that issue. However, I have looked at the cases and they do not appear to be relevant even to}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid9505351  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 the issue of damages.}{\rtlch\fcs1 \af0

\par Where an order for specific performance of a contract is made damages are not usually awarded in}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid12671004  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 addition. Damages may}{\rtlch\fcs1 \af0 
\ltrch\fcs0 \insrsid16459091 ,}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986  however, be awarded where special damages arise from delay in performance.
\par }\pard \ltrpar\s39\ql \li0\ri0\sb240\sa240\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid13137446 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 I do not consider this is a case where damages}{

the rent or rates. The sublease is to be co-terminuous with}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid13137446  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 the head sublease which expires in the next century about}{\rtlch\fcs1 \af0 
\ltrch\fcs0 \insrsid13137446  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 the year 2062.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid13303986\charrsid13303986  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986

\par Mr. Morgan mentioned that the cost of constructing another green will be higher now than the cost of five years ago. That may well be so but I do not consider that such loss was ever contemplated when negotiations began for a lease 
as far back as 1972. No basis was laid in the statement of claim for an alternative claim for special damages.
\par }\pard \ltrpar\s39\ql \li0\ri0\sb240\sa240\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid13251592 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10578664\charrsid13303986 
I consider that justice will be done if the Council is ordered to perform its part of the contract by granting the sublease.
\par The defendant requested the plaintiff to prepare the sublease and I shall direct that it prepare the sublease although it is the lessors}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid13303986\charrsid13303986 '}{\rtlch\fcs1 \af0 \ltrch\fcs0 
\insrsid10578664\charrsid13303986  solicitors who usually prepare the document.
\par I declare that the agreement between the parties for the defendant to grant to the plaintiff 
a sublease of Lot 1 on DP 5025 being part of the land contained in Crown Law No. 4319 ought to be specifically performed and carried into execution and I do so order and adjudge the same accordingly.

the amendments required by the Director of Lands as Head Lessor.

 the sublease in triplicate be delivered to the defendant Council for execution by its authorised officers and that the said officers do execute the said sublease in triplicate within 14 days after delivery to the defendant or such extended time as this C
ourt shall allow and do deliver the said three executed copies to the plaintiff.
