Notwithstanding that defect the application was treated as one for an interim injunction. An order granting an injunction until the 8th November, 1983, was granted. There were several further extensions of the injunction up to the 27th February, 1984.

On the 24th February, 1984, the plaintiff sought a further extension of the injunction which was opposed by the defendant company. Counsel for both parties fully argued the issue as to whether the defendant company should be restrained from presenting a 
\hich\af0\dbch\af31505\loch\f0 petition for the winding up of the plaintiff company.
\par \hich\af0\dbch\af31505\loch\f0 Before adjouring to consider the application I asked Mr. Gruzman whether the plaintiff intended to seek any other relief other than that referred to in the}{\rtlch\fcs1 \af0\afs21 \ltrch\fcs0 \insrsid11681503

\par \hich\af0\dbch\af31505\loch\f0 The main issue in this p\hich\af0\dbch\af31505\loch\f0 resent action is whether an unsecured debt of A$871,927 which is owing by the plaintiff to the defendant is presently due and owing.
\par \hich\af0\dbch\af31505\loch\f0 The defendant company contends the debt is presently due and owing and that on the 3rd October, 1983, Messrs. Sherani & Co.\hich\af0\dbch\af31505\loch\f0 
, solicitors for the defendant, gave the plaintiff notice pursuant to section 168 of the Companies Act to pay the said debt to them at their offices in Suva within twenty one days of service on the plaintiff of the}{\rtlch\fcs1 \af0\afs21 \ltrch\fcs0

that all debts were immediately due and payable. The defendant company on 27th August, 1982, a few months before the Moratoriu\hich\af0\dbch\af31505\loch\f0 
m Deed was executed believed the loan was "repayable at call" (vide letter of that date annexed to Mr. Tosio}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid9970604\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 '}{\rtlch\fcs1 \af0 \ltrch\fcs0

\par \hich\af0\dbch\af31505\loch\f0 It follows that I am also of the view that the purported demand made on }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 the 3rd Octo\hich\af0\dbch\af31505\loch\f0 
ber, 1983, }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 pursuant to section 168 of the Companies }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 Act }{
\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 seeking repayment of }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 the }{\rtlch\fcs1 \af0 \ltrch\fcs0

\hich\af0\dbch\af31505\loch\f0 1982, the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 amount owing, }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 
presumably capital and }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 accumulated }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 interest }{\rtlch\fcs1 
\af0 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 amounted to A$871,927 on which sum according to the Deed interest is to be paid calculated at the maximum rate permitted by the Fiji Moneylenders Act. The le
\hich\af0\dbch\af31505\loch\f0 tter acknowledging the }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 terms }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid11606235\charrsid9970604

The letter MAT 5 provides that interest is to be allowed to accrue for 3 years and thereafter be payable half year in arrears. There is no mention of compounding interest and there could be\hich\af0\dbch\af31505\loch\f0  a }{\rtlch\fcs1 \af0\afs24 
\ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 dispute on this issue.
\par }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 These possible disputes are better dealt with in an action for debt which would enable the plaintiff company}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid131616 
\hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 full scope to raise any defences it saw fit.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid9970604 \hich\af0\dbch\af31505\loch\f0  }{

\par }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 Mr. Hely also argued that the defendant}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid131616 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0

has a right under section 222 of the Companies Act as a contingent or prospective creditor to seek an }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 order wind}{\rtlch\fcs1 \af0 \ltrch\fcs0 
\insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 ing up the Company.
\par }{\rtlch\fcs1 \af0\afs21 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 If they have that right which I do not decide in view of the order I propose to make proviso (iii) of section 222(1) would have applica}{\rtlch\fcs1 
\af0\afs21 \ltrch\fcs0 \insrsid131616 \hich\af0\dbch\af31505\loch\f0 tion. The company in such event }{\rtlch\fcs1 \af0\afs21 \ltrch\fcs0 \insrsid11606235\charrsid9970604 \hich\af0\dbch\af31505\loch\f0 
would have to establish a prima facie case for winding up before the petition was heard.
\par \hich\af0\dbch\af31505\loch\f0 The defendant company by giving the plaintiff a statutory notice under section 168 of the Companies Act (now section 221(a) of the 1983 Act) has indicated its intention to found a petition on non-compliance with such}{
