I consider there is ample documentary evidence to establish the existence of an enforceable agreement between the parties for the sale and purchase of the land and chattel I consider therefore that there is no merit in the plaintiffs further and/or

Exhibit No. 6, the receipt written by the first, plaintiff to evidence the agreement does not have any notation thereon that purchase is subject to any conditions.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid940778 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1

Another issue however, which does assist in determining whether or not the purchase was subject to availability of funds and can be considered at the same time, is whether the\hich\af0\dbch\af31505\loch\f0 
 parties re-negotiated the sale and purchase and agreed on a lower price of $25,000 when the Home Finance Co. Ltd. was not prepared to lend more than}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10378556 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0 
\ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 $19,500.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid5537735\charrsid5537735 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 
\hich\af0\dbch\af31505\loch\f0 On this issue there is some documentary and}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid15294832 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 
other evidence which leaves me in no doubt that the p\hich\af0\dbch\af31505\loch\f0 urchase was not made subject to finance being available and there was no re-negotiation of the price.
\par \hich\af0\dbch\af31505\loch\f0 Mr. Brij Mohan, an executive of the Home Finance Co. Ltd. was called by the plaintiffs as a witness. He produced copies of certain documents I will be ref\hich\af0\dbch\af31505\loch\f0 erring to shortly.
\par \hich\af0\dbch\af31505\loch\f0 Mr. Brij Mohan pointed out that both the plaintiffs \hich\af0\dbch\af31505\loch\f0 were civil servants and their joint eligibility for a loan was $25,000 and that is the loan the plaintiffs sought from his company.
\par }\pard \ltrpar\s39\ql \li0\ri0\sb240\sa240\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid15350080 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 
In their application for a loan dated the 31st \hich\af0\dbch\af31505\loch\f0 
October, 1977, they disclosed they were providing $3,000 of their own cash. Figures were changed in the application, a matter I will be referring to later, but accepting the figure of $25,000 applied for and with their $3,000 they were seeking more than w
\hich\af0\dbch\af31505\loch\f0 a\hich\af0\dbch\af31505\loch\f0 s required if the price was $25,000 as they allege even allowing for costs.
\par }\pard \ltrpar\s39\ql \li0\ri0\sb240\sa240\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid12719494 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 
I have no doubt at all that the plaintiffs expected a loan of $25,000 to be forthcoming}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid12719494 .}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 
 Their eligibility was that sum and the Permanent Secretary for Finance by letter dated 14th\hich\af0\dbch\af31505\loch\f0 
 December, 1977, advised the lending company that Government was prepared to guarantee a joint housing loan of $25,000 to the plaintiffs.
\par }\pard \ltrpar\s39\ql \li0\ri0\sb240\sa240\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6577255 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 
The Home Finance Company was however only prepared to lend $19,500 and required repairs costing}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid12719494 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 
\hich\af0\dbch\af31505\loch\f0 $1,210 to be done to t\hich\af0\dbch\af31505\loch\f0 he premises.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid5537735\charrsid5537735 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735

\hich\af0\dbch\af31505\loch\f0 and $5,500 for the chattels.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid5537735\charrsid5537735 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 
I do not believe them.

The first plaintiff in evidence stated that the second defendant was \hich\af0\dbch\af31505\loch\f0 pressing him to pay a further $4,000 and that if he did not pay it he would lose his $5,000. This was his explanation for writing the letter of the}{

The first plaintiff did not impress me at all. The burden of establishing that the purchase was subject to a Home Finance Co. Ltd. loan being available and that the p\hich\af0\dbch\af31505\loch\f0 rice finally agreed after re-negotiations was $25,000}{

\par \hich\af0\dbch\af31505\loch\f0 On the evidence before me it appears that the plaintiffs fully expected to raise a loan of $25,000 and committed themselves t\hich\af0\dbch\af31505\loch\f0 o purchase the property and chattels for $29,000.
\par \hich\af0\dbch\af31505\loch\f0 I accept the second defendant}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid5537735\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 '}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 
s evidence that his parents were emigrating and required cash and that a term of the verbal agreement was that the full purchase price was to be paid "during school holidays" w\hich\af0\dbch\af31505\loch\f0 
hich would be not later than end of January or early February, 1978.

Miss Maureen Young, who lived in the premises, was present when the parties were negotiating. She was}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid8466312 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 
\hich\af0\dbch\af31505\loch\f0 called by the defendants. Her version as to what happened differs from that related by the plaintiffs and the second}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10100552 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0

\ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 greed and paid by the plaintiffs.
\par \hich\af0\dbch\af31505\loch\f0 I accept that all purchase moneys were to be paid before the end of January. A period of 3 months from date deposit was paid was a reasonable period of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10100552\charrsid5537735 
\hich\af0\dbch\af31505\loch\f0 time}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 .
\par \hich\af0\dbch\af31505\loch\f0 I find as a fact that the pl\hich\af0\dbch\af31505\loch\f0 
aintiffs were not able to complete purchase by the end of January, 1978, and that was the situation when on 1st May, 1978, the second defendant who was acting for his mother notified the plaintiffs they would have to vacate unless they paid the full purch
\hich\af0\dbch\af31505\loch\f0 a\hich\af0\dbch\af31505\loch\f0 se }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid15227507 \hich\af0\dbch\af31505\loch\f0 p}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 rice.

It is apparent the plaintiffs were}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid15227507 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 
making desparate efforts to find the $4,000 they still required and the first d\hich\af0\dbch\af31505\loch\f0 efendant assisted all she could by allowing them to occupy part of the premises while giving them time to find the money.
\par \hich\af0\dbch\af31505\loch\f0 On the plaintiffs seeking to enforce the contract they met the claim with a Defence and Counterclaim alleging breach of contract and s\hich\af0\dbch\af31505\loch\f0 eeking damages.
\par \hich\af0\dbch\af31505\loch\f0 I find as a fact that the plaintiffs are in breach of contract. They have failed to pay the balance purchase price and have neither alleged or established that they are }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid403449 
\hich\af0\dbch\af31505\loch\f0 w}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 illing and able to complete.

I earlier quoted paragraph 7(iv) of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid3491927\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 the d\hich\af0\dbch\af31505\loch\f0 efendants}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid5537735\charrsid5537735

 defence in which they expressed willingness to refund deposits subject to set off of damages they alleged they suffered. I can only assume that the defendants considered they were not morally or legally justified in retaining the whole sum of $5,000.

\par \hich\af0\dbch\af31505\loch\f0 If the first defendant did not through her son rescind the agreement in May, 1978, when he evicted the plaintiff, she does by her counterclaim claim general damages for breach which is clearly indicative that she has e
\hich\af0\dbch\af31505\loch\f0 lected to treat the agreement as at an end.
\par }\pard \ltrpar\s39\ql \li0\ri0\sb240\sa240\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid8998525 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 
I have held that the initial payment of $2,000 was a deposit. The subsequent two payments were not deposits but payment on account of the reduction of the purchase price.

I come now to consider the Statement of C\hich\af0\dbch\af31505\loch\f0 laim and the Counterclaim.
\par \hich\af0\dbch\af31505\loch\f0 I have held that the plaintiffs were in breach of the contract and they cannot obtain an order for specific performance. They have in addition failed to show that they are willing and able to complete the purchase.
\par }\pard \ltrpar\s39\ql \li0\ri0\sb240\sa240\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6116186 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 Are they entit

of the view that they cannot claim refund of the $2,000 which the parties agreed was a deposit. While there is no evidence that the parties ever considered what would hap\hich\af0\dbch\af31505\loch\f0 
pen to this deposit of the plaintiffs, it was clearly given as an earnest for their performance of the contract and I hold that the $2,000 is not refundable and is forfeited to the first defendant.
\par }\pard \ltrpar\s39\ql \li0\ri0\sb240\sa240\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid12648513 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid2516511\charrsid5537735 \hich\af0\dbch\af31505\loch\f0 
The two later payments of $1,000 and $2,000 were not depos\hich\af0\dbch\af31505\loch\f0 its and I so hold. There was no agreement that these sums were to be forfeited if the plaintiffs defaulted and the first defendant rescinded the agreement.
