\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584  and receivable by him, although }{\fs24\lang2057\langfe1033\langnp2057\insrsid16537485 grown by the plaintiff. Further}{
\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 more the pla}{\fs24\lang2057\langfe1033\langnp2057\insrsid16537485 intiff did not receive the cane}{\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 
 moneys, although he is entitled to the benefit of them. So f}{\fs24\lang2057\langfe1033\langnp2057\insrsid16537485 ar as I can ascertain the total}{\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584  tax deductions were $243.45 a}{
\fs24\lang2057\langfe1033\langnp2057\insrsid16537485 nd the deductions were between 196}{\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 8}{\fs24\lang2057\langfe1033\langnp2057\insrsid16537485  }{
\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 and 1978.}{\fs24\lang2057\langfe1033\langnp2057\insrsid11219453  }{\fs24\lang2057\langfe1033\langnp2057\insrsid16537485 Rent is rather diffe}{
\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 rent. Dr. Sahu Khan submitted that defendant had agreed to pay}{\fs24\lang2057\langfe1033\langnp2057\insrsid16537485  the rent. But that is a half-truth. What defendant}{
\fs24\lang2057\langfe1033\langnp2057\insrsid12780712  said }{\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 was that he had paid the rent }{\fs24\lang2057\langfe1033\langnp2057\insrsid5131152 
on Farm 326 and he submitted receipts. But what he meant is that he had paid rent ever since the}{\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584  millers had ceased to deduct it. The millers deducted rent for 1968, 1}{
\fs24\lang2057\langfe1033\langnp2057\insrsid5131152 969, 1970, 1971, 1972 and 1973 at $50 a year }{\fs24\lang2057\langfe1033\langnp2057\insrsid6650869 totalling}{\fs24\lang2057\langfe1033\langnp2057\insrsid487417  $}{
\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 2}{\fs24\lang2057\langfe1033\langnp2057\insrsid5131152 62.50. The agreement is silent about rent and since this was a sale and purchase agreement}{

\fs24\lang2057\langfe1033\langnp2057\insrsid5131152 ction and recovers his money he}{\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584  will be entitled to be credited the amount}{\fs24\lang2057\langfe1033\langnp2057\insrsid5131152

\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 t interest}{\fs24\lang2057\langfe1033\langnp2057\insrsid5131152  shall}{\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584  be added to the last paymen}{
\fs24\lang2057\langfe1033\langnp2057\insrsid5131152 t. There is, of course, a furthe}{\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 r matter to be considered i}{\fs24\lang2057\langfe1033\langnp2057\insrsid5131152 
n the account namely the insurance}{\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584  premium}{\fs24\lang2057\langfe1033\langnp2057\insrsid5131152 . These have been paid by the defe}{
\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 ndant, but according to the agreement they}{\fs24\lang2057\langfe1033\langnp2057\insrsid5131152  are payable by the plaintiff, }{
\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 and although breach of the agreement in respect of non payment by the plaintiff of these insurance premiums has not been mentioned, when a proper account}{
\fs24\lang2057\langfe1033\langnp2057\insrsid5131152  }{\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid4533584 is had between the parties these insurance premiums must be debited to the plaintiff.

\par DR. Sahu Khan takes further point. He argues that even though money may be owing by the plaintiff the defendant cannot rescind the agreement }{\fs24\lang2057\langfe1033\langnp2057\insrsid12013544 
without furnishing an account. I accept the fact that the defendant was asked to furnish an account before he purported to rescin
d the agreement, and that he failed to do so. I do not think that it was reasonable to expect the plaintiff to be able to make an account. The defendant was collecting the cane moneys, and although the plaintiff may have seen the cane accounts, they were 
the defendant}{\fs24\lang2057\langfe1033\langnp2057\insrsid1977406 '}{\fs24\lang2057\langfe1033\langnp2057\insrsid12013544 s cane accounts and in the defendant}{\fs24\lang2057\langfe1033\langnp2057\insrsid1977406 '}{

\fs24\lang2057\langfe1033\langnp2057\insrsid14429628 e mortgagor}{\fs24\lang2057\langfe1033\langnp2057\insrsid12013544  can calculate the amount owing as easily as the mortgagee. However the cases cited by Dr. Sahu Khan do not in }{
\fs24\lang2057\langfe1033\langnp2057\insrsid9663013 my view get him}{\fs24\lang2057\langfe1033\langnp2057\insrsid12013544  very far. I think that the position is that}{\fs24\lang2057\langfe1033\langnp2057\insrsid2623911 ,}{
\fs24\lang2057\langfe1033\langnp2057\insrsid14429628  these two parties being vendor}{\fs24\lang2057\langfe1033\langnp2057\insrsid2623911 
 and purchaser, the defendant vendor is as between himself and the plaintiff purchaser, constructively a trustee for the purchaser, since this is a contract of which specific perfo
rmance might be ordered, and as a trustee he has to account. The Court has always required trustees to account. See }{\b\i\fs24\lang2057\langfe1033\langnp2057\insrsid2623911\charrsid14183341 Springett v Dashwood}{

\fs24\lang2057\langfe1033\langnp2057\insrsid4533584\charrsid9663013  co}{\fs24\lang2057\langfe1033\langnp2057\insrsid2623911\charrsid9663013 nsent of South Pacific Sugar M}{\fs24\lang2057\langfe1033\langnp2057\insrsid10759392\charrsid9663013

 land of which Farm 326 comprises part. For myself I am not certain that the Colonial Sugar Refining Company Limited were not the owner}{\fs24\lang2057\langfe1033\langnp2057\insrsid14183341 s of this land, but I am content}{
\fs24\lang2057\langfe1033\langnp2057\insrsid9663013  to accept the position agreed upon by the p}{\fs24\lang2057\langfe1033\langnp2057\insrsid14183341 arties. Mr. Surendra Prasad contended}{\fs24\lang2057\langfe1033\langnp2057\insrsid9663013 
 that the obligation to obtain consent lay upon the plaintiff but}{\fs24\lang2057\langfe1033\langnp2057\insrsid14183341  he cited no authority and he s}{\fs24\lang2057\langfe1033\langnp2057\insrsid9663013 eemed to me }{
\fs24\lang2057\langfe1033\langnp2057\insrsid14183341 to }{\fs24\lang2057\langfe1033\langnp2057\insrsid9663013 assume that the agreement itself placed this obligation upon the plaintiff. That is not so. The agreement merely states that the agreeme
nt is subject to the consent of South Pacific Sugar Mills Limited, and there is nothing that I can find, nor did Mr. Prasad point me to anything which gives any indication of where the responsibility for obtaining consent lay. Of course the real responsib
ility rested upon the solicitor who prepared the agreement who was acting for both parties, and was, I fancy, related to them. It might reasonably have been expected that having taken their money, he might have properly completed the work. He did not.}{

\par I think that the way to look at this matter is to bear in mind that here was a farm in the defe}{\fs24\lang2057\langfe1033\langnp2057\insrsid802663 n}{\fs24\lang2057\langfe1033\langnp2057\insrsid9663013 dant}{
\fs24\lang2057\langfe1033\langnp2057\insrsid1977406 '}{\fs24\lang2057\langfe1033\langnp2057\insrsid9663013 s name. He wanted to transfer it to the plaintiff. }{\fs24\lang2057\langfe1033\langnp2057\insrsid802663 
The lessors were certainly not likely to agree to transfer it unless the defendant applied, and in this 
state of affairs it seems to me that the obligation to obtain the consent rested on the defendant. Moreover it is the defendant who now seeks to take advantage of the fact that no consent has been obtained. It is to be borne in mind that in this case the 
failure to obtain consent does not result in illegality, although it may perhaps be said that the contract is unlawful as distinct from being illegal. Several cases were }{\fs24\lang2057\langfe1033\langnp2057\insrsid2521685 referred}{

debited with insurance premiums payable by him under the agreement and paid by the defendant on his behalf. I have considered whether the plaintiff should also pay interest on insurance premium and rents, but the defendant has collected, if one may rely u
pon the Fiji Sugar Corporation figures, something over}{\fs24\lang2057\langfe1033\langnp2057\insrsid13249804  $6,000}{\fs24\lang2057\langfe1033\langnp2057\insrsid351354  from the plaintiff}{\fs24\lang2057\langfe1033\langnp2057\insrsid1977406 '}{

 by him after December 1971, but the cane accounts furnished by the Fiji Sugar Corporation indicate that moneys to the extend of over $3,000 have been paid to the defendant since the end of 1971, and it seems probable that the account has made up to the d
ate}{\fs24\lang2057\langfe1033\langnp2057\insrsid13972694  }{\fs24\lang2057\langfe1033\langnp2057\insrsid351354 of trial and thereafter will shew a balance in favour of the plaintiff.}{\fs24\lang2057\langfe1033\langnp2057\insrsid2521685

\par The next question to be considered is whether the plaintiff is entitled to an order for specific performance. Counsel for the defendant concedes that specific performance is a matter for the exercise of the Court}{
\fs24\lang2057\langfe1033\langnp2057\insrsid1977406 '}{\fs24\lang2057\langfe1033\langnp2057\insrsid351354 s discretion, but he urges that a decree should not be made in this case on the ground of hardship.}{
\fs24\lang2057\langfe1033\langnp2057\insrsid16341502  I am not quite sure what counsel meant by hardship here, for he led no evidence on that scope, and the only hardship which 
emerges from the evidence is that the defendant has transferred his farm at Rakiraki to his two sons, and }{\fs24\lang2057\langfe1033\langnp2057\insrsid15027106 
presumably wants to farm this particular land himself. I would observe that he would scarcely find this possible since he has lost a leg, and any atte
mpt at farm work would, I should think, be grievously hampered. Moreover he told the Court nothing of the circumstances which prompted the transfer of the Rakiraki farm to his sons, or the date when that occurred, and I cannot see that he has established

uch hardship and should disentitle the plaintiff to specific performance. I would add that if indeed the defendant is suffering hardship, it is hardship which has been brought upon him by his own act and which therefore equity will not relieve. In any eve
nt, hardship is usually judge}{\fs24\lang2057\langfe1033\langnp2057\insrsid13972694 d}{\fs24\lang2057\langfe1033\langnp2057\insrsid15027106 
 as of the time of entry into the contract and there was nothing of that kind in March 1968. I think that in considering whether the plaintiff is entitle}{\fs24\lang2057\langfe1033\langnp2057\insrsid9527338 d}{
\fs24\lang2057\langfe1033\langnp2057\insrsid15027106  to an order for specific performance I must look at the whole course of proceedings.}{\fs24\lang2057\langfe1033\langnp2057\insrsid2170481 
 When the contract was made both parties got what they wanted from it, namely the defendant got Farm 504 and the promise of }{\fs24\lang2057\langfe1033\langnp2057\insrsid9527338 the }{\fs24\lang2057\langfe1033\langnp2057\insrsid2170481 
money, and the plaintiff }{\fs24\lang2057\langfe1033\langnp2057\insrsid9527338 got Farm 326. The price became due at the end of 1971. The plaintiff }{\fs24\lang2057\langfe1033\langnp2057\insrsid2170481 made endeavours to fin
d out how much was owing by asking for an account, }{\fs24\lang2057\langfe1033\langnp2057\insrsid9527338 and he got someone who was prepared to advance the money to }{\fs24\lang2057\langfe1033\langnp2057\insrsid11273889 
pay off the defendant. Instead of giving plaintiff an account,}{\fs24\lang2057\langfe1033\langnp2057\insrsid9527338  }{\fs24\lang2057\langfe1033\langnp2057\insrsid11273889 defendant made ready to rescind the contract. As soon as he was given notice of th
at attempt at rescission plaintiff sued. He asked for an account by his writ. Still no attempt was made to give him an account. Although the defendant entered an appearance in October 1972, he did not file a defence until September 1975. In the mean time 
the plaintiff had set the action down in September 1973, but for some reason unexplained it did not actually come to trial. The defence which was filed in September 1975 admitted that the defendant was collecting the cane moneys from the farm, alleged }{

\par In my view this is a proper for an order for
 specific performance. Evidence has been given that South Pacific Sugar Mills Limited would probably have given consent to a transfer in terms of the agreement, and I have no doubt that when it is represented to the Director of Lands that the purchase pri
ce has been fully paid, the necessary consent will be forthcoming. If that has not happen the plaintiff will be entitled to damages. I have been told that this farm is now worth $15}{\fs24\lang2057\langfe1033\langnp2057\insrsid3562132 -}{
