\hich\af0\dbch\af31505\loch\f0 a\hich\af0\dbch\af31505\loch\f0 le Ordinance avoids the instrument completely. On the other hand, the learned counsel for the defendants has argued that to make the Promissory Note and/or the }{\rtlch\fcs1 \af0 \ltrch\fcs0 
\insrsid3945173 \hich\af0\dbch\af31505\loch\f0 Assignment come within the defi}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10821192\charrsid10821192 \hich\af0\dbch\af31505\loch\f0 nition of a defeasance of condition, it must first be shown that

ment were made pursuant to the Deed and that the Bill of Sale is not made or given subject to the Promissory Note or \hich\af0\dbch\af31505\loch\f0 
the Assignment. In my view the mere failure to refer in the Bill of Sale to a contemporaneous collateral security given as part of the same transaction to secure the moneys or part of the moneys as are payable by virtue of the Bill of Sale does not itself
\hich\af0\dbch\af31505\loch\f0  \hich\af0\dbch\af31505\loch\f0 
offend against the provisions of Section 11 of the Bills of Sale Ordinance. To hold that the collateral security operates as a defeasance or condition it must also be shown that it contains provisions or stipulations which alter the arrangement between th
\hich\af0\dbch\af31505\loch\f0 e\hich\af0\dbch\af31505\loch\f0  parties to the Bill of Sale in a way that avoids either the right of the grantor to redeem the goods or of the grantee to seize them. See }{\rtlch\fcs1 \ai\af0\afs21 \ltrch\fcs0

e one contract in two documents is read there is a condition in the contract which does not appear in the bill of sale. He was referring to a stipulation in a promissory note which did not appear in the bill of sale, the stipulation being that in case of

efault of any payment of any instalment the whole sum shall become due and payable. The Court of Appeal in affirming the decision of the Queen's Bench Division held that by reason of this stipulation the promissory note was a defeasance of the Bills of Sa

-registered securities namely the Assignment and the Promissory Note on the registered namely the Bill of Sale. In order therefore to decide whether the Promissory Note and/or the Assignment constituted a defeasance it is essential to examine their conten
\hich\af0\dbch\af31505\loch\f0 t\hich\af0\dbch\af31505\loch\f0 s. Let us therefore first examine the contents of the Promissory Note. This Note was originally given by one Ram Rattan to the plaintiff on the 6th day of}{\rtlch\fcs1 \af0\afs21 \ltrch\fcs0

dorsement of transfer on the Promissory Note by the plaintiff on the 2nd March, 1964 contained the declaration that the whole of the principal and interest was still owing. Indeed the total sum owing as as the date of the cond

182. Although on the face of the endorsement what the plaintiff purported to do was to transfer the whole of his interest and rights in the Promissory Note to the defendants, in fact by reason of the stipulati\hich\af0\dbch\af31505\loch\f0 o
\hich\af0\dbch\af31505\loch\f0 
n contained in the Deed this transfer constituted nothing more than a collateral security. An outright transfer would have entitled the plaintiff to receive forthwith credit for the appropriate sum and the defendants could not as between themselves and th
\hich\af0\dbch\af31505\loch\f0 e\hich\af0\dbch\af31505\loch\f0  plaintiff look to the Promissory}{\rtlch\fcs1 \af0\afs21 \ltrch\fcs0 \lang2057\langfe1033\langnp2057\insrsid16478885 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0\afs21 \ltrch\fcs0

to secure only a portion of the total debt, nevertheless had the giver of the Promissory Note chosen to pay to the assignees his debt under the Note with interest at any time after the first three instalments under the Bill of Sale were paid but before th

fendants were entitled to demand payment at any time in contradistinction to the provision in the Bill of Sale. In}{\rtlch\fcs1 \af0\afs21 \ltrch\fcs0 \lang2057\langfe1033\langnp2057\insrsid16478885 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 
\af0\afs21 \ltrch\fcs0 \lang2057\langfe1033\langnp2057\insrsid10821192\charrsid10821192 \hich\af0\dbch\af31505\loch\f0 
my view the very nature of the Promissory Note and the stipulation as to payment on demand contained therein constituted a defeasance of the \hich\af0\dbch\af31505\loch\f0 
Bill of Sale and there was therefore non-compliance with section 11 of the Bills of Sale Ordinance rendering the Bill of Sale void. Although no payment under the Promissory Note was received, it is significant to note that a demand for immediate payment w
\hich\af0\dbch\af31505\loch\f0 a\hich\af0\dbch\af31505\loch\f0 s made on the maker of the Promissory Note on the 2nd March 1964 when no payment under the Bill of Sale was due (See Notice of transfer and demand, Exhibit D.1)}{\rtlch\fcs1 \af0 \ltrch\fcs0

On the basis of my foregoing conclusions the plaintiff though not entitled to a declaration that he had satisfied his indebtedness to the defen\hich\af0\dbch\af31505\loch\f0 \hich\f0 dants prior to 25th of May, 1966 or that he over-paid to the extent of 
\'a3\loch\f0 74. 13. 0, is nevertheless entitled to a declaration, which I hereby make, that the Bill of Sale (Book 64, Folio 687) is illegal and void in that it offends against the provisions of \hich\af0\dbch\af31505\loch\f0 s

ection 11 of the Bills of Sale Ordinance. This being so the seizure was wrongful and illegal as it was based on a void Bill of Sale. The plaintiff is therefore entitled to recover general and special damages on the evidence before this court. I am satisfi
\hich\af0\dbch\af31505\loch\f0 e\hich\af0\dbch\af31505\loch\f0 \hich\f0 d that he has suffered, as a result of the illegal seizure, some loss of income and has also incurred some expenses though not to the extent claimed. I award the plaintiff \'a3
