nt to repay the principal money with interest is entirely independent of the assignment of the chattels and that if it had been contained in a seperate piece of paper it would have been enforced, although the Bill of Sale was void, and that the fact that 
\hich\af0\dbch\af31505\loch\f0 i\hich\af0\dbch\af31505\loch\f0 t is contained in the same piece of paper can make no difference, but, looking at the Act and reading section 9 by the light of section 8, it appears that when}{\rtlch\fcs1 \af0\afs24

attels comprised in it they said so. In the very next section, section 9, which directs that the form of the Bill of Sale given in the Schedule is to be followed those words which limit the extent of the avoidance are absent and it seems to follow that it

 is paid on foot of a contract that is void an action does lie for money had and received and that is the position here. In my opinion there is no doubt but that the plaintiff would be entitled to claim for money had and received and with reasonable inter

st thereon. However, in the instant case it must be decided when that right of action arose. It has not been contended, nor do I think it could have been that there was anything inherently defective in the Bill of Sale }{\rtlch\fcs1 \af0\afs24

\hich\af0\dbch\af31505\loch\f0  \hich\af0\dbch\af31505\loch\f0 Therefore time began to run against the appellant as each instalment fell due and he had the remedies available }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \fs24\insrsid3963433

the fact that the Bill of Sale in issue in this case was a good and valid document, binding on both parties to it, until the 7th \hich\af0\dbch\af31505\loch\f0 
January, 1960. Until that date the remedies of the appellant against the respondent in respect of the transaction between them were those, and only those, set out in the Bill of Sale. Although clause 10 of that}{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 
\fs24\insrsid4994895 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \fs24\insrsid5391639\charrsid12396099 \hich\af0\dbch\af31505\loch\f0 document preserves any rights arising on the \hich\af0\dbch\af31505\loch\f0 
basis of simple contract between the parties, yet while the Bill of Sale remains in full force and effect I think any action taken by the appellant against the respondent by reason of non-payment of moneys due, or other defaults, would have to be brought 
\hich\af0\dbch\af31505\loch\f0 u\hich\af0\dbch\af31505\loch\f0 nder the Bill of Sale. If this view is correct then no right of action arising out of the contract would have accrued to the appellant before that date otherwise than in}{\rtlch\fcs1 
\af0\afs24 \ltrch\fcs0 \fs24\insrsid4994895 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \fs24\insrsid5391639\charrsid12396099 \hich\af0\dbch\af31505\loch\f0 
accordance with the terms of the Bill of Sale and on the authority of that document.}{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \fs24\insrsid5391639

Under the Bills of Sale Ordinance, Cap. 193, section 7, failure to re-register by the 7th January, 1960 rendered the Bill of Sale "fraudulent and void". No part of the argument of counsel was directed to}{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 
\fs24\insrsid213866 \hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \fs24\insrsid5391639\charrsid12396099 \hich\af0\dbch\af31505\loch\f0 the significance of the word "fraudulent" under sect\hich\af0\dbch\af31505\loch\f0 
ion 7. It is hard to believe that the Legislature intended that failure to register a perfectly valid document\hich\f0 \emdash \loch\f0 particularly one that had been in full force and effect for five years\hich\f0 \emdash \loch\f0 
should invest the whole transaction with the attributes of dishonesty and\hich\af0\dbch\af31505\loch\f0  \hich\af0\dbch\af31505\loch\f0 
moral wrong ordinarily understood by the use of the word "fraud". If the idea of dishonesty and moral wrong is eliminated from the meaning of "fraudulent" in this section}{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \fs24\insrsid213866 
\hich\af0\dbch\af31505\loch\f0  }{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \fs24\insrsid5391639\charrsid12396099 \loch\af0\dbch\af31505\hich\f0 \emdash \loch\f0  and I cannot see any justification for the supposition that the omission of a mere 
\hich\af0\dbch\af31505\loch\f0 formality should be regarded as making the transaction dishonest or morally reprehensible\hich\f0 \emdash \loch\f0 
then the word "fraudulent" in section 7 entails no further legal consequences than those attaching to the word "void". If this view is correct then the words "fraudu\hich\af0\dbch\af31505\loch\f0 l\hich\af0\dbch\af31505\loch\f0 
ent and" in the section are mere surplusage.}{\rtlch\fcs1 \af0\afs24 \ltrch\fcs0 \fs24\insrsid5391639

I think there is force in the argument of counsel for the appellant that section 10 is severable from the remainder of the document and that it is in fact not an integral part of the Bill of Sale. I do not agre\hich\af0\dbch\af31505\loch\f0 
e that the covenant to repay contained in the document is also severable. The document is in the form of a security over certain property given to secure repayment of the moneys owing plus interest in the manner specified in the document. The covenant to 
\hich\af0\dbch\af31505\loch\f0 r\hich\af0\dbch\af31505\loch\f0 
epay must therefore be regarded as an integral part of the Bill of Sale which becomes void upon failure to re-register. Clause 10, which preserves rights arising independently of the Bill of Sale, is in a different position.}{\rtlch\fcs1 \af0\afs24

 expired and was not renewed. Time under the Statute of Limitations begins to run when the cause of action accrues. The cause of action normally accrues when there is in existence a person who can sue and another who can be sued, and when all the facts ha

e happened which are material to be proved to enable the plaintiff to succeed. The cause of action, independently of the covenant to repay contained in the Bill of Sale did not accrue in my opinion until the document became void under section 7 upon failu
