be stated briefly. \par }{\lang2057\langfe1033\langnp2057\insrsid554304\charrsid4985561 \par \hich\af0\dbch\af36\loch\f0 The Defendant served a notice of demand dated 4 February 2009 on the Plaintiff Company pursuant to section 221 of the Companies Act Cap 247 (the Act).}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid554304\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The notice also e\hich\af0\dbch\af36\loch\f0 xpressed an intention to present a Petition to the Court to wind up the Plaintiff under section 220 of the Act in the event of non compliance with the notice of demand. \par \par \hich\af0\dbch\af36\loch\f0 The Notice was addressed to Taunovo Bay Limited formerly known as Coral Coast Properti\hich\af0\dbch\af36\loch\f0 es Limited and claimed payment of the sum of US$250,000.00 within three (3) weeks of the date of receipt of the notice.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid554304\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The claim was stated as being for monies lent to the Plaintiff Company the full particulars of which, the Notice stated, were well k}{ \lang2057\langfe1033\langnp2057\insrsid8001129\charrsid4985561 \hich\af0\dbch\af36\loch\f0 nown\hich\af0\dbch\af36\loch\f0 to the Plaintiff.}{\lang2057\langfe1033\langnp2057\insrsid554304\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid8001129\charrsid4985561 \par \hich\af0\dbch\af36\loch\f0 Service of the Notice on the Plaintiff Company was acknowledged in the affidavit of }{\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Mitchell}{ \lang2057\langfe1033\langnp2057\insrsid8001129\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Hagerman sworn on 12 March 2009 in paragraph 3. \par \par \hich\af0\dbch\af36\loch\f0 It was service of this notice on the Plaintiff that ultimately resulted in the application for\hich\af0\dbch\af36\loch\f0 injunctive relief to restrain the Defendant from proceeding further with the presentation of a winding up petition. \par }{\lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid8001129\charrsid4985561 \hich\af0\dbch\af36\loch\f0 In order to comply with Order 29 of the High Court Rules, the Plaintiff also filed a Writ of Summons that was issued by the Court on 13 Ma \hich\af0\dbch\af36\loch\f0 rch 2009.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid8001129\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The Statement of Claim }{ \lang2057\langfe1033\langnp2057\insrsid8414655\charrsid4985561 \hich\af0\dbch\af36\loch\f0 delivered with}{\lang2057\langfe1033\langnp2057\insrsid8001129\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Writ did not raise any substantive cause of action other than the application for the injunctive relief and the grounds upon which it should be granted.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid8001129\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Those}{\lang2057\langfe1033\langnp2057\insrsid10429401\charrsid4985561 \hich\af0\dbch\af36\loch\f0 grounds }{ \lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 we}{\lang2057\langfe1033\langnp2057\insrsid10429401\charrsid4985561 \hich\af0\dbch\af36\loch\f0 re essentially the same grounds that were outlined in a letter dated 25 February 2009 from the Plaintiff\hich\f0 \rquote \loch\f0 s legal practitioner to the Defendant\hich\f0 \rquote \loch\f0 s legal practitioner.}{ \lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid10429401\charrsid4985561 \hich\af0\dbch\af36\loch\f0 They may be summari}{\lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 s}{\lang2057\langfe1033\langnp2057\insrsid10429401\charrsid4985561 \hich\af0\dbch\af36\loch\f0 ed briefly.}{\lang2057\langfe1033\langnp2057\insrsid8001129\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid10429401\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The Plaintiff contends that any mon}{\lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 ey}{ \lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 advanced by the Defe\hich\af0\dbch\af36\loch\f0 ndant w}{\lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 as}{ \lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 advanced to a company named T}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 aunovo Bay LDC Limited (TB LDC)}{ \lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid7360953\charrsid4985561 \hich\af0\dbch\af36\loch\f0 and not to }{ \lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Taunovo Bay Limited (TBL).}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Therefore the demand }{\lang2057\langfe1033\langnp2057\insrsid15225521\charrsid4985561 \hich\af0\dbch\af36\loch\f0 notice }{ \lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 cannot be }{\lang2057\langfe1033\langnp2057\insrsid15225521\charrsid4985561 \hich\af0\dbch\af36\loch\f0 addressed to}{ \lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 the Plaintiff.}{\lang2057\langfe1033\langnp2057\insrsid10429401\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \par \hich\af0\dbch\af36\loch\f0 The Plaintiff also contends that any mon}{\lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 ey}{\lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 that w}{\lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 as}{\lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 advanced by the Defendant w}{ \lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 as}{\lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 as consideration under an agreement with TBL for the purchase of Lot 20 at the Taunovo subdivision.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The Plaintiff claims that the agreement was in breach of the Land Sales Act Cap 137 and Foreign Investment Act 1999.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 As a result the agreement was void a\hich\af0\dbch\af36\loch\f0 nd the Defendant can only recover the amount paid without interest.}{ \lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The Plaintiff claims that the balance owing is US$100,000.00 which is owed }{ \lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 by}{\lang2057\langfe1033\langnp2057\insrsid9917166\charrsid4985561 \hich\af0\dbch\af36\loch\f0 TB LDC and not TBL. \par }{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \par \hich\af0\dbch\af36\loch\f0 The Plaintiff further contends that if the Defendant had advanced mon}{\lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 ey}{ \lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 to TBL as a loan,\hich\af0\dbch\af36\loch\f0 it was necessary to obtain Exchange Control approval.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 It is claimed that there were also requirements under the Guarantee and Bailment Act and the Stamp Duties Act that needed to be met for the loan to be enforceable in Fiji. \par \par \hich\af0\dbch\af36\loch\f0 The Plaintiff contends that \hich\af0\dbch\af36\loch\f0 as a result there is a substantial dispute in relation to the debt claimed by the Defendant. \par \par \hich\af0\dbch\af36\loch\f0 The Plaintiff claims that in the event that the Defendant presents a petition for winding up, its reputation will suffer and }{\lang2057\langfe1033\langnp2057\insrsid15225521\charrsid4985561 \hich\af0\dbch\af36\loch\f0 will be damaged}{\lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 ,}{\lang2057\langfe1033\langnp2057\insrsid15225521\charrsid4985561 \hich\af0\dbch\af36\loch\f0 thereby resulting in}{ \lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 losses and damages. \par \par \hich\af0\dbch\af36\loch\f0 When the application was argued before me Counsel for the parties did not address any of the statutory requirements that had been raised in the }{\lang2057\langfe1033\langnp2057\insrsid2696891\charrsid4985561 \hich\af0\dbch\af36\loch\f0 letter da}{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 ted 25 February 2009 (supra) and in the Statement of Claim.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Furthermore, in the P\hich\af0\dbch\af36\loch\f0 laintiff\hich\f0 \rquote \loch\f0 s written submissions dated 13 August 2009, there is only a general reference to the legislation in paragraphs 3.10, 3.11 and 5.3 (iii). \par \par \hich\af0\dbch\af36\loch\f0 At no stage has the Court been directed to a specific }{\lang2057\langfe1033\langnp2057\insrsid8414655\charrsid4985561 \hich\af0\dbch\af36\loch\f0 provision}{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 in the legislation }{\lang2057\langfe1033\langnp2057\insrsid8414655\charrsid4985561 \hich\af0\dbch\af36\loch\f0 and }{\lang2057\langfe1033\langnp2057\insrsid7360953\charrsid4985561 \hich\af0\dbch\af36\loch\f0 n}{ \lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 or was it stated how or in what manner there had been non-compliance with a specific section in any of the pieces of legislation referred to. \par \par \hich\af0\dbch\af36\loch\f0 Counsel }{\lang2057\langfe1033\langnp2057\insrsid8414655\charrsid4985561 \hich\af0\dbch\af36\loch\f0 focused}{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 on addressing the Court on the question of the identity of the party to whom the Defendant had ad\hich\af0\dbch\af36\loch\f0 vanced monies and as a result the correct identity of the debtor. \par \par \hich\af0\dbch\af36\loch\f0 The background facts }{\lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 leading }{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 to the }{ \lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 service of the notice of demand}{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 are complex and there is disagreement in the affidavit material in relation to some of those facts. \par \par \hich\af0\dbch\af36\loch\f0 The Defendant was ap\hich\af0\dbch\af36\loch\f0 proached by }{\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Mitchell}{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Hage}{\lang2057\langfe1033\langnp2057\insrsid7360953\charrsid4985561 \hich\af0\dbch\af36\loch\f0 r}{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 man some time in 2005.}{ \lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Mr Hage}{\lang2057\langfe1033\langnp2057\insrsid7360953\charrsid4985561 \hich\af0\dbch\af36\loch\f0 r}{\lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 man states in his affidavits that he is the Chief Executive Officer of the Plaintiff and also the managing partner of the Taunovo Bay Development.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid721034\charrsid4985561 \hich\af0\dbch\af36\loch\f0 His affidavit sworn on 5 August 2009 annexes a compa\hich\af0\dbch\af36\loch\f0 ny search that indicates he is a director of that company. \par \par \hich\af0\dbch\af36\loch\f0 The Plaintiff is a company incorporated under the laws of Fiji with its registered office in Suva. \par \par \hich\af0\dbch\af36\loch\f0 It would appear that there is another}{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 company by the }{\lang2057\langfe1033\langnp2057\insrsid2696891\charrsid4985561 \hich\af0\dbch\af36\loch\f0 n}{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 a}{\lang2057\langfe1033\langnp2057\insrsid2696891\charrsid4985561 \hich\af0\dbch\af36\loch\f0 m}{ \lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 e of Taunovo Bay LDC Limited.}{\lang2057\langfe1033\langnp2057\insrsid721034 \par }{\lang2057\langfe1033\langnp2057\insrsid4985561\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 There are\hich\af0\dbch\af36\loch\f0 no copies of certificates of incorporation in respect of either company before the Court.}{ \lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 There is also no copy of a certificate of change of name in respect of the companies Coral Coast Properties Limited and Taunovo Bay Limited.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Some of the copy Certifi\hich\af0\dbch\af36\loch\f0 cates of Title annexed to the affidavit of Kenneth Honig filed on 29 September 2009 show that there was a change of name of the registered proprietor from Coral Coast Properties Limited to Taunovo Bay Limited. \par \par \hich\af0\dbch\af36\loch\f0 For reasons which are certainly not clear to \hich\af0\dbch\af36\loch\f0 the Court, there were only two documents annexed to any of the affidavits filed on behalf of the Plaintiff relating to the various companies involved in these proceedings.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 First there was a copy of a Notice of Change of Address of the registered office of \hich\af0\dbch\af36\loch\f0 Coral Coast Properties Limited dated August 2001. \par \par \hich\af0\dbch\af36\loch\f0 The second document was a copy company search proforma completed in handwriting by Jamnadas, Barristers & Solicitors who are the legal practitioners for the Plaintiff.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The date of the search is shown as 12\hich\af0\dbch\af36\loch\f0 .2.09.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid10564237\charrsid4985561 \hich\af0\dbch\af36\loch\f0 I}{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 t purports to be a search of Taunovo Bay Limited (the Plaintiff).}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The date of incorporation is said to be 5 October 1999.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \par \par \hich\af0\dbch\af36\loch\f0 This is somewhat confusing when it appears that Coral }{\lang2057\langfe1033\langnp2057\insrsid15225521\charrsid4985561 \hich\af0\dbch\af36\loch\f0 C}{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 oast Properties Ltd was also an incorporated company as at August 200\hich\af0\dbch\af36\loch\f0 1.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The Directors are said to be Mitchell Hagerman and William Hagerman.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The shareholders are Mitchell Hagerman who is said to hold one share on trust for Taunovo Bay LDC.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 His address is shown as P O Box 351 Pacific Harbour.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The other shareholder is shown a\hich\af0\dbch\af36\loch\f0 s Taunovo Bay LDC (1 share). \par \par \hich\af0\dbch\af36\loch\f0 These two documents are said in paragraph 5 of Mr Hagerman\hich\f0 \rquote \loch\f0 s affidavit sworn on 5 August 2009 to be }{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 "}{ \lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 a copy of the company structures}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 "}{ \lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 . \par \par \hich\af0\dbch\af36\loch\f0 The evidence is less than satisfactory.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid12345515\charrsid4985561 \hich\af0\dbch\af36\loch\f0 There was no explanation as to why copies of the documents lodged with the Companies Office were not annexed to the affidavits to establish what was the relationship between Coral Coast Properties Limited, Taunovo Bay Limited and Taunovo Bay LDC.}{ \lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid12345515 \par on 5 August 2009 Mr Hagerman confirmed that the initial agreement was that the sum of $US500,000 was to be advanced to th\hich\af0\dbch\af36\loch\f0 e Plaintiff Company. \par \par \hich\af0\dbch\af36\loch\f0 Subsequently the Plaintiff Company and the Defendant\hich\f0 \rquote \loch\f0 s company entered into a written sale and purchase agreement dated 10 April 2006 (the agreement) with an addendum dated 27 July 2006 (the addendum). \par \par \hich\af0\dbch\af36\loch\f0 It was not disputed that the sa\hich\af0\dbch\af36\loch\f0 le and purchase agreement provided that Bay LDC at the request of Mr Hagerman in his capacity as CEO and Managing Partner of Taunovo Bay Limited the Plaintiff Company. \par \par \hich\af0\dbch\af36\loch\f0 Mr Hagerman offered to repay US$480,000 on behalf of T\hich\af0\dbch\af36\loch\f0 aunovo Bay Limited to the Defendant who accepted the offer.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The sum of US$250,000 has been paid back to the Defendant from the same account into which the monies advanced by the Defendant had been deposited.}{ \lang2057\langfe1033\langnp2057\insrsid13505814\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \par \hich\af0\dbch\af36\loch\f0 There is an amount (either US$230,000 or US$200\hich\af0\dbch\af36\loch\f0 ,000 or US$150,000) outstanding and that amount is owed to the Defendant by Taunovo Bay Limited the Plaintiff Company.}{ \lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The Defendant has served on the Plaintiff Company a valid notice of Demand and Intention to present Winding up Petition dated 4 February \hich\af0\dbch\af36\loch\f0 2009.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 I do not accept that the outstanding amount is owed to the Cayman Company }{\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Taunovo}{\lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Bay LDC. \par }{\lang2057\langfe1033\langnp2057\insrsid10827428\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The Legal principles to be applied by this Court in an application such as the present are well established and well known.}{ \lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The first test is whether the Plai\hich\af0\dbch\af36\loch\f0 ntiff\hich\f0 \rquote \loch\f0 s Statement of Claim gives rise to a serious question or questions to be tried.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 It is accepted that the threshold for the Plaintiff to satisfy this test is that stated by Lord Diplock in }{\b\i\ul\lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 American Cyanamid Co \hich\f0 \endash \loch\f0 v- Ethicon Ltd}{\lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 [1975] AC 396 at 409: \par \par }\pard \ql \li900\ri0\nowidctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin900\itap0\pararsid4985561 {\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 "}{\b\i\lang2057\langfe1033\langnp2057\insrsid15342017\charrsid4985561 \hich\af0\dbch\af36\loch\f0 T\hich\af0\dbch\af36\loch\f0 he Court no doubt must be satisfied that the claim is not frivolous or vexatious, in other words, that there is a serious question to be tried}{\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 "}{\b\i\lang2057\langfe1033\langnp2057\insrsid2839986\charrsid4985561 \par }\pard \ql \li0\ri0\nowidctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid4985561 {\lang2057\langfe1033\langnp2057\insrsid15342017\charrsid4985561 \par \hich\af0\dbch\af36\loch\f0 The Plaintiff\hich\f0 \rquote \loch\f0 s Statement of Claim does not plead any substantive cause of action.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid15342017\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The pleading consists of a n\hich\af0\dbch\af36\loch\f0 umber of matters that are claimed to represent or constitute a substantial dispute to the claim by the Defendant.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid15342017\charrsid4985561 \hich\af0\dbch\af36\loch\f0 In other words, the question in this case is whether the issues }{\lang2057\langfe1033\langnp2057\insrsid8220347\charrsid4985561 \hich\af0\dbch\af36\loch\f0 pleaded}{\lang2057\langfe1033\langnp2057\insrsid15342017\charrsid4985561 \hich\af0\dbch\af36\loch\f0 in the Statement }{\lang2057\langfe1033\langnp2057\insrsid8220347\charrsid4985561 \hich\af0\dbch\af36\loch\f0 of C}{ \lang2057\langfe1033\langnp2057\insrsid15342017\charrsid4985561 \hich\af0\dbch\af36\loch\f0 laim raise a serious question or questions in rel\hich\af0\dbch\af36\loch\f0 ation to the debt claimed by the Defendant in his Notice of Demand dated}{ \lang2057\langfe1033\langnp2057\insrsid14820986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 4 February 2009.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid14820986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 As a result of the findings of fact that have been made I have concluded that the Plaintiff\hich\f0 \rquote \loch\f0 s }{\lang2057\langfe1033\langnp2057\insrsid8220347\charrsid4985561 \hich\af0\dbch\af36\loch\f0 S}{ \lang2057\langfe1033\langnp2057\insrsid14820986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 tatement of }{\lang2057\langfe1033\langnp2057\insrsid8220347\charrsid4985561 \hich\af0\dbch\af36\loch\f0 C}{ \lang2057\langfe1033\langnp2057\insrsid14820986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 laim does not raise a serious question to be tried.}{\lang2057\langfe1033\langnp2057\insrsid15342017\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid14820986\charrsid4985561 \par \hich\af0\dbch\af36\loch\f0 Howev\hich\af0\dbch\af36\loch\f0 er even if it were accepted that there may be a }{\lang2057\langfe1033\langnp2057\insrsid15225521\charrsid4985561 \hich\af0\dbch\af36\loch\f0 serious question to be tried}{ \lang2057\langfe1033\langnp2057\insrsid14820986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 and even if damages }{\lang2057\langfe1033\langnp2057\insrsid15225521\charrsid4985561 \hich\af0\dbch\af36\loch\f0 we}{ \lang2057\langfe1033\langnp2057\insrsid14820986\charrsid4985561 \hich\af0\dbch\af36\loch\f0 re not }{\lang2057\langfe1033\langnp2057\insrsid9568945\charrsid4985561 \hich\af0\dbch\af36\loch\f0 adequate}{ \lang2057\langfe1033\langnp2057\insrsid12064882\charrsid4985561 \hich\af0\dbch\af36\loch\f0 , }{\lang2057\langfe1033\langnp2057\insrsid9568945\charrsid4985561 \hich\af0\dbch\af36\loch\f0 on the issue of the balance of convenience, I am persuaded by the comments made by the Fiji Court of Appeal in }{\b\i\ul\lang2057\langfe1033\langnp2057\insrsid9568945\charrsid4985561 \hich\af0\dbch\af36\loch\f0 B W Holdings Limited \hich\f0 \endash \loch\f0 v- Sinc\hich\af0\dbch\af36\loch\f0 lair Knight Merz Fiji Limited}{\lang2057\langfe1033\langnp2057\insrsid9568945\charrsid4985561 \hich\af0\dbch\af36\loch\f0 (unreported Civil Appeal No. 66 of 2007 delivered 2 July 2008)}{ \lang2057\langfe1033\langnp2057\insrsid8145255\charrsid4985561 \hich\af0\dbch\af36\loch\f0 commencing }{\lang2057\langfe1033\langnp2057\insrsid1705184\charrsid4985561 \hich\af0\dbch\af36\loch\f0 towards the end of page 3:}{ \lang2057\langfe1033\langnp2057\insrsid14820986\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid1705184\charrsid4985561 \par }\pard \ql \li900\ri0\nowidctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin900\itap0\pararsid4985561 {\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 "}{\b\i\lang2057\langfe1033\langnp2057\insrsid1705184\charrsid4985561 \hich\af0\dbch\af36\loch\f0 In the Court of Appeal, Counsel for the Appellant in his written and oral submissions contended that the crucial issue on appeal was whether the balance of convenience favoured the Appellant so that the injunction should be continued.}{ \b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\b\i\lang2057\langfe1033\langnp2057\insrsid1705184\charrsid4985561 \hich\af0\dbch\af36\loch\f0 This }{\b\i\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 characterisation}{\b\i\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 of the issues is plainly correct.}{\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\b\i\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 In this regard both parties recognise that the principles governing the imposition of an injunction of this type are governed by the leading case of }{\b\i\ul\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 American Cyanamid Company v Ethicon Ltd}{\b\i\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 [1975] AC 396.}{\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \b\i\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Very properly, co\hich\af0\dbch\af36\loch\f0 unsel for the Appellant has also drawn the attention of the Court to }{ \b\i\ul\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Bryanston Finance \hich\f0 \endash \loch\f0 v- De Vires (No2)}{\b\i\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 [1976] 2 WLR 41 where it was held that the granting of an injunction restraining the presentation or prosecution of a winding up petition is exercised\hich\af0\dbch\af36\loch\f0 under the inherent jurisdiction of the court to prevent an abuse of its process.}{\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\b\i\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 As a matter of principle, interference in the ordinary rights of a person conferred by statute should not be the subject of injunctive relief unless an abuse of process is es\hich\af0\dbch\af36\loch\f0 tablished.}{ \b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\b\i\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 In this regard, clear and persuasive grounds must be established before an injunction may be imposed.}{\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\b\i\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \loch\af0\dbch\af36\hich\f0 \'85\loch\f0 .}{\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\b\i\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 In our view, publicity following a winding up order is an incident of such an order being made.}{\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\b\i\lang2057\langfe1033\langnp2057\insrsid15679240\charrsid4985561 \hich\af0\dbch\af36\loch\f0 It would seem to follow that, generally spea\hich\af0\dbch\af36\loch\f0 king, it is difficult to see how possible bad publicity to the company which is the subject}{ \b\i\lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 of a winding up order could ordinarily be a proper basis for saying that the presentation or prosecution of a winding up order following the failure to pay a statut\hich\af0\dbch\af36\loch\f0 ory demand under section 221 of the Companies Act is an abuse of the process of the Court.}{\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 "}{\b\i\lang2057\langfe1033\langnp2057\insrsid1705184\charrsid4985561 \par }\pard \ql \li0\ri0\nowidctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid4985561 {\lang2057\langfe1033\langnp2057\insrsid4399706\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid12064882\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Only after the service of the second demand notice did }{\lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 the Plaintiff claim that it was not responsible for the debt.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 There was no relevant written material to support that claim.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The assertions made by Mr Hagerman in his affidavits were not supported by any documentary material.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The statutory issues raised by the Plaintiff were not argued before me and were not pursued w\hich\af0\dbch\af36\loch\f0 ith any }{\lang2057\langfe1033\langnp2057\insrsid12064882\charrsid4985561 \hich\af0\dbch\af36\loch\f0 particulars}{\lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 in the Plaintiff\hich\f0 \rquote \loch\f0 s written submissions.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 They too appear to have been raised as a matter of last resort. \par \par \hich\af0\dbch\af36\loch\f0 Even if any of the statutory provisions that may be relevant had the effect of invalidating or voiding the agreement and its addend\hich\af0\dbch\af36\loch\f0 um thereby rendering it unenforceable, the Defendant is nevertheless entitled to be refunded the monies advanced.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 He might not have been able to commence proceedings for specific performance or damages. \par \par \hich\af0\dbch\af36\loch\f0 There does appear to be some confusion in the materi\hich\af0\dbch\af36\loch\f0 al as to the actual amount that remains owing.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Depending on what document is being referred to, the amount may be $US230,000 or $US200,000 or $US150,000. \par \par \hich\af0\dbch\af36\loch\f0 On a view of the material that is least favourable to the Defendant, he could claim a refund of $US40\hich\af0\dbch\af36\loch\f0 0}{\lang2057\langfe1033\langnp2057\insrsid2911926 \hich\af0\dbch\af36\loch\f0 ,}{ \lang2057\langfe1033\langnp2057\insrsid2911926\charrsid4985561 \hich\af0\dbch\af36\loch\f0 000}{\lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 .}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Of that amount, the sum of $US250,000 has been repaid.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 } {\lang2057\langfe1033\langnp2057\insrsid4598424\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The amount outstanding is $US150,000. \par }{\lang2057\langfe1033\langnp2057\insrsid12064882\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid1522676\charrsid4985561 \hich\af0\dbch\af36\loch\f0 There has been no dispute that the Defendant is the creditor.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid1522676\charrsid4985561 \hich\af0\dbch\af36\loch\f0 The issue as to the identity of the debtor was first raised in writing by the Plaintiff\hich\f0 \rquote \loch\f0 s leg\hich\af0\dbch\af36\loch\f0 al practitioners in January 2009.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{\lang2057\langfe1033\langnp2057\insrsid1522676\charrsid4985561 \hich\af0\dbch\af36\loch\f0 I have indicated that, on the material before me, I do not consider that assertion to be a bona fide claim that is supported by the documentary evidence.}{\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 }{ \lang2057\langfe1033\langnp2057\insrsid1522676\charrsid4985561 \hich\af0\dbch\af36\loch\f0 I am satisfied that the Plaintiff Company is the correctly named deb\hich\af0\dbch\af36\loch\f0 tor. \par \par \hich\af0\dbch\af36\loch\f0 Under those circumstances I am guided by the statement of }{\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 Plowman J in }{ \b\i\ul\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 In }{\b\i\ul\lang2057\langfe1033\langnp2057\insrsid12064882\charrsid4985561 \hich\af0\dbch\af36\loch\f0 R}{ \b\i\ul\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 e Tweeds Garages Ltd}{\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 [1962] }{ \lang2057\langfe1033\langnp2057\insrsid12064882\charrsid4985561 \hich\af0\dbch\af36\loch\f0 1 All ER 121 at page 124;}{\lang2057\langfe1033\langnp2057\insrsid1522676\charrsid4985561 \par }{\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \par }\pard \ql \li900\ri0\nowidctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin900\itap0\pararsid4985561 {\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 "}{\b\i\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 In my judgment, where there is no doubt (and there is none here) that the petitioner is a creditor for a sum which woul\hich\af0\dbch\af36\loch\f0 d otherwise entitle him to a winding up order, a dispute as to the precise sum which is owed to him is not of itself a sufficient answer to his petition.}{\b\i\lang2057\langfe1033\langnp2057\insrsid4985561 \hich\af0\dbch\af36\loch\f0 "}{ \b\i\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \par }\pard \ql \li0\ri0\nowidctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid4985561 {\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \par \hich\af0\dbch\af36\loch\f0 I have concluded that the balance of convenience and the overall justice of the case }{\lang2057\langfe1033\langnp2057\insrsid12064882\charrsid4985561 \hich\af0\dbch\af36\loch\f0 are}{ \lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 in favour o\hich\af0\dbch\af36\loch\f0 f the Defendant and the application for an injunction }{\lang2057\langfe1033\langnp2057\insrsid12064882\charrsid4985561 \hich\af0\dbch\af36\loch\f0 is }{\lang2057\langfe1033\langnp2057\insrsid12018276\charrsid4985561 \hich\af0\dbch\af36\loch\f0 refused.
