10 year lease' which the plaintiff company claims to hold }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 (and which the defendant company denies)}{\i\f0\lang2057\langfe5129\langnp2057\insrsid8076247  }{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 over a piece of land situated at the junction of Ratu Mara Road and Belo Street in Samabula, Suva and from which it is conducting a Used Cars Sales business.
\par 
\par The }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 lease'}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  is said to be evidenced by a letter dated the 
}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 8th of February 1988}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 
(hereafter referred to as the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 lease letter')}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078

seeking to increase the monthly rental for the premises occupied by the plaintiff company from $330 to $650.

\par It is common ground that the title document of the land the subject matter of the dispute is }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 Crown Lease No}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 :}{
\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  4693}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  in which the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{

\par The significance of this latter declaration is that it incorporates into the lease the mandatory requirements of Section 13 of the Crown Lands Act (Cap.132) which provides:

\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  agreed between the parties and contained in the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 
lease letter'}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 .

\par Learned counsel for the plaintiff however opposes the application on both grounds and submits that the defendant company is properly sued on the principle that the defendant company is the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{
\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 agent'}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  of Tower Investments Limited and that therefore this is an appropriate instance for }{
\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 "lifting the veil of incorporation"}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 .}{\f0\lang2057\langfe5129\langnp2057\insrsid8076247  }{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 Further it is submitted that the necessary }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 consent'}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  was granted by the Director of Lands.
\par 
\par Why it was considered necessary to sue the defendant company }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 ... trading as Tower Investments'}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 , is unclear from the plaintiff company's affidavits but in any event I do not consider that the evidence supports learned counsel's submissions in that regard.
\par 
\par I accept that the correspondence between the parties suggests that Tower Investments Limited does not have a separate letterhead of its own }{\i\f0\ul\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 or}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  for that matter, a separate postal or business address.}{\f0\lang2057\langfe5129\langnp2057\insrsid8076247  }{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 
I also accept that P.K. Kasabia exercises some form of }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 dual capacity'}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  in respect of both companies.
\par 
\par I cannot accept however that in the absence of }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 fraud'}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  or 
}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 special circumstances' (which is no-where suggested in the plaintiff company's evidence)}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  that this is an appropriate case for the Court to depart from the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{
\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 fundamental principle'}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  in company law that a company and the members forming it, }{
\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 (whether private individuals or other companies)}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 
 and however complete their control of the company might be, are nevertheless treated, as separate and distinct legal entities save in exceptional circumstances.
\par 
\par There is nothing }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 exceptional'}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 
 in the present circumstances which would persuade me to hold that the defendant company was an }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 agent'}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  of Tower Investments Limited or vice-versa }{\i\f0\ul\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 or}{

\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  which forms an annexure to the submissions of learned counsel for the plaintiff company and which bears an undated }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{
\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 consent'}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  of the Director of Lands endorsed on it }{
\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 (hereafter referred to as the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 consented lease letter')}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 ,}{\f0\lang2057\langfe5129\langnp2057\insrsid8076247  }{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 
raises, in the face of the written denial of the granting of any such consent by the Department of Lands and Survey in its letter of }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 16th October 1991}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 , a serious question for determination upon which the existing affidavits are clearly inadequate.

\par In this latter regard I note that }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 Section 13(4)}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  of the Crown Lands Act}{
\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  (Cap.132)}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  expressly provides:

 contained in the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 16th of October 1991}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  letter is not as }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078 '}
{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 categorical'}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  as learned counsel for the defendant company seeks to make out in so far as it states }{

\par I would observe in passing that there does not appear to be any laid down }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078\charrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 forms'}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  or }{\f0\lang2057\langfe5129\langnp2057\insrsid12861078\charrsid12861078 '}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 procedure' nor any legal requirement in }{
\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 Section 13}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  of the Crown Lands Act whereby the per
son seeking the necessary consent of the Director of Lands must be or must include the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078\charrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 registered lessee'}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  of the land, indeed, if that were necessarily so }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 
(as appears to be implied in the submissions of learned counsel for the defendant company)}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  then any 
action seeking to challenge the legality and/or enforceability of any agreement relating to a }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078\charrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 protected lease'
}{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  would rest entirely at the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078\charrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 whim'}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  of the lessee which would in my view be a wholly unwarranted reading of the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 Section}{

\par In the circumstances I reject the second ground put forward by the defendant company in its application and I dismiss it }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 subject only}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  to the }{\i\f0\lang2057\langfe5129\langnp2057\insrsid12861078\charrsid12861078 '}{\i\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078 substitution order'}{
\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078  earlier made.}{\f0\lang2057\langfe5129\langnp2057\insrsid8076247  }{\f0\lang2057\langfe5129\langnp2057\insrsid12332045\charrsid12861078
