no}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 }{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9456860 '}{ \i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 interest'}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 in the land in question.}{ \f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9456860 }{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 His claim however is based upon 2 }{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9456860 '}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 C' to the plaintiff's affidavit of 3rd July 1992}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 ) which purports to evidence an agreement by the defendant to sell his}{ \i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 }{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9456860 '}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 share-holding'}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 to 2 of his sons namely, the plaintiff and }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 Ram Dhir Singh }{ \f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 for a fixed sum of }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 $9,000}{ \i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 (annexure }{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9456860 '}{ vein and for the same amount a third son }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 Ranjeet Singh}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 also agreed to sell his}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 }{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9456860 '}{ \i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 shareholdings'}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 to his 2 brothers namely, the plaintiff and }{ \b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 Ram Dhir existence of the agreements I felt able to grant the interim injunction at the outset. \par \par The defendant however in seeking the dissolution of the injunction has put forward 4 grounds which he claims renders the agreements}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 (i.e. annexures }{ \i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9456860 '}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 B' and }{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9456860 '}{ \i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9456860 \par }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 agreements in question raises serious questions which are incapable of being resolved solely on the basis of affidavit evidence. \par \par }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 Ground 3(c)}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 however seeks to invoke the provisions of }{ \b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 Section 12}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 of the }{ \b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 Native Lands Trust Act }{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 (Cap.134)}{ \f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 which renders null and void any}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 }{ \i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9456860 '}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 lessee'}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 without the prior \par \par In this regard it will be noted that both agreements specifically refers to a sale of the vendor's}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9456860 :}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 \par \par }\pard \ql \li720\ri0\nowidctlpar\hyphpar0\faauto\rin0\lin720\itap0\pararsid9456860 {\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 "Shareholdings in the property of Waitamata Sawmill situated on a five (5) acre land with a substantial dwelling thereon ..."}{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9456860 ;}{ \b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 }{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 and later \par }\pard \ql \li0\ri0\nowidctlpar\hyphpar0\faauto\rin0\lin0\itap0\pararsid9456860 {\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 \par }\pard \ql \li720\ri0\nowidctlpar\hyphpar0\faauto\rin0\lin720\itap0\pararsid9456860 {\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 \par Learned counsel for the defendant submits that the agreements necessarily give rise to a }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 "dealing"}{ \f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 with the land in question and therefore are null and void in the absence of N.L.T.B. consent.}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9456860 }{ \f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 With respect I cannot agree. \par \par In the first place neither the defendant or }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 Ranjit Singh}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 are the }{ \b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 "lessee"}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 of the land in question and}{ \i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 secondly}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 , the agreements refer to }{ \b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 "shareholdings"}{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 }{ \f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 and to property }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 "on"}{ \f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 the native lease and in my view may be specifically performed by the registration of share transfers without in any way affecting the subject matter of the lease.}{ \f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9456860 }{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 There is no merit in this ground. \par \par There is no dispute as to the legality of the mortgagee sale which was effected by the defendant's solicitors on his behalf and although there are no details as to the outstanding amount}{ \i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 (if any)}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 owed to the defendant under the mortgage }{ \b\f0\ul\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 or}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 of the amount realised from the sale, there can be no doubting that the plaintiff only claims a }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 "50% share"}{ \f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid13633896\charrsid9456860 in the proceeds of sale. \par \par Then learned counsel for the defendant submits that the plaintiff has failed to disclose the fact that he is an
