\par The plaintiffs now seek the return of the machine but the defendant's refuse to return it claiming the right to retain possession of it on the basis of an oral agreement entered into between the 2nd plaintiff and 2nd defendant sometime in }{
\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "early 1989"}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  and which is}{
\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  "evidenced"}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  by an undated, unsigned }{

 ("which was at variance with that which had been discussed")}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  maintaining instead that the machine was left at the defendant's factory premises upon his }{
\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "offer to store (it)"}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 .

\par It is undisputed that the machine in question is the only one of its kind presently in the country.}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid5642573  }{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 
It is also undisputed that the plaintiffs have obtained the necessary approvals}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  (in principle)}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  for the formation of a }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid5642573 '}{
\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 joint venture company'}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  with a local brick manufacturer.}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid5642573  }{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 The joint venture however is }{
\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "... dependant on the plaintiffs ... regaining possession of the brick making machine ..."}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  and making it available for use in the operations of the joint venture.
\par 
\par In this latter regard }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 Michael McAuliffe}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 , a principal and shareholder of }{
\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 Bula Brick (Fiji) Ltd.}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 
 has confirmed the proposed joint venture company and, more particularly, the essential requirement that the machine }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "... be 
available for the joint venture to proceed ..."}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid5642573  }{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 
\par 
\par There are also several undisputed assertions in the affidavit such as, that the 2nd defendant had agreed in}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  March 1992}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  to sell}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  "the machine"}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  to }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 Bula Brick Ltd.}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  for }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 $29,000 }{

that the machine is }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "... lying idle in the defendant's premises"}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 ; and that }{
\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "... it would cost less than $4,000 to reimburse the defendants for the storage of the machine ..."}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573

\par It is noteworthy that the defendants nowhere assert a}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  }{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid5642573 '}{
\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 right of ownership'}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  over the machine and indeed as much is implicit in }{
\f0\ul\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 Clause 3}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  of the }{
\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "Leasing Agreement"}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 
 which recognises the right of the plaintiffs to remove the machine from the defendants premises subject only to payment of expenses incurred in the storage of the machine.
\par 
\par Furthermore, when questioned about the signed agreement to sell the machine, counsel for the defendants sought to}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  "explain"}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  it by referring to a clause in the }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "}{
\b\f0\ul\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 Leasing Agreement}{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  which entitles }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "the lessee"}{
\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  (the defendants)}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  to dispose of the machine to recover outstanding expenses incurre
d for the transportation, installation, repair and maintenance of the machine and other operating costs.
\par }{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid5642573 
\par }{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 These latter expenditure and costs are particularised more fully in the defendant's }{
\b\f0\ul\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 Statement of Defence and Counterclaim}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  and amount to a sum of }{
\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 $40,380 }{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 (notably 10 times the amount deposed in Mr. McAuliffe's affidavit).}{

\par Needless to say the defendant's agreement to sell the machine for }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 $29,000}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 
 represents a significant shortfall in the expenditure and costs allegedly incurred in respect of the machine.}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid5642573  }{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 In similar vein the defendant's undated }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid5642573 '}{
\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 draft settlement agreement'}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  records the defendant's willingnes}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid5642573 s}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 
 to release the machine to the plaintiffs upon the plaintiffs withdrawing this action and agreeing to pay the sum of }{\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 $30,000}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 .
\par 
\par Learned counsel for the plaintiff's submits however that damages would be an adequate remedy for the plaintiffs in the event that their claim should eventually succeed.}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid5642573  }{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 Counsel reasoned that a replacement machine could be obtained by the plaintiff from overseas should she wish to continue in the joint venture.
\par 
\par Whilst I accept that there is a serious question to be tried, namely, the legal status}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  (if any)}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  of the defendant's oral lease agreement, I cannot accept that damages are an adequate remedy in the particular circumstances of 
this case having regard to the rather specialised nature of the particular machine involved and the basis on which the defendant's claim to be entitled to retain possession of it.
\par 
\par Indeed the converse is more likely in my view to be true, namely, that damages}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  (which is all that the defendants counterclaim)}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 
 would be an adequate remedy for the defendants in the event that they are successful in establishing the existence of a legally enforceable agreement by the plaintiffs to lease the machine to them.
\par 
\par Furthermore the }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid5642573 '}{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 balance of convenience'}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  in this case strongly favours the plaintiffs who seek the recovery of the machine in order to enable them to enter into a joint venture company }{
\f0\ul\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 and}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  to enable the machine to be used productively for the purpose for which 
it was designed.}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid5642573  }{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 
The defendants on the other hand seek to retain the machine not because it is being used by them, but rather as some form of }{\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 "security"}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  for the recovery of expenses related to the installation, storage and maintenance of the machine over the past 3 years.
\par 
\par In all the circumstances I am satisfied that this is an appropriate case for the grant of a mandatory injunction in terms of the plaintiff's}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  inter partes}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  motion of the}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  28th of July 1992}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 .
\par 
\par Mindful however that the machine is affixed to the
 defendants premises and has been for the past 3 years and that expenses have been and will be incurred in the dismantling of the machine I order that the plaintiffs pay into Court for payment out to the defendants the sum of }{
\b\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 $6,880}{\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  being rental claimed fo
r the space occupied by the machine for 36 months @ $80 per month}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  (incorrectly computed by the defendants as }{
\b\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 $8,399}{\i\f0\expnd0\expndtw-2\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573 )}{
\f0\expnd0\expndtw-3\lang2057\langfe5129\langnp2057\insrsid9651163\charrsid5642573  together with the estimated cost of dismantling the same.
