}{\b\cf1\insrsid6951014\charrsid15018161 17. }{\b\cf1\insrsid6951014\charrsid9246788 Incorporation of owners of s}{\b\cf1\insrsid2503742\charrsid9246788 eparate areas }{\cf1\insrsid2503742\charrsid15018161 - }{\cf1\insrsid6951014\charrsid15018161 (1) When all or any}{\cf1\insrsid12151836\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of the owners in common of one area}{\cf1\insrsid12151836\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of land in respect }{\cf1\insrsid9246788 o}{\cf1\insrsid6951014\charrsid15018161 f which an order of incorporation could}{\cf1\insrsid12151836\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 be made under this Part of this Act are also the owners or}{ \cf1\insrsid12151836\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 any of the owners in common of any other area or areas of}{\cf1\insrsid12151836\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 land in respect of which such an order could be made, the}{\cf1\insrsid12151836\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 Court may make a single order of incorporation in respect}{\cf1\insrsid12151836\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 of the whole or a defined part of the several areas owned}{\cf1\insrsid12151836\charrsid15018161 adjoining}{\b\cf1\insrsid12151836\charrsid8802643 }{\b\cf1\insrsid6951014\charrsid8802643 land in order of}{ \b\cf1\insrsid12151836\charrsid8802643 }{\b\cf1\insrsid6951014\charrsid8802643 freehold}{\cf1\insrsid12151836\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 land (whether owned}{\cf1\insrsid7671464\charrsid15018161 in common or otherwise) forms a }{ \cf1\insrsid6951014\charrsid15018161 continuous area with}{\cf1\insrsid7671464\charrsid15018161 any other Native freehold land in }{\cf1\insrsid6951014\charrsid15018161 respect of which an}{\cf1\insrsid7671464\charrsid15018161 order of incorporation has been made or could be made in accordance with the foregoing provisions }{\cf1\insrsid6951014\charrsid15018161 of this Part of this Act, an order of incorporation may}{\cf1\insrsid7671464\charrsid15018161 be }{ \cf1\insrsid6951014\charrsid15018161 made or extended subject to the provisions as to consents}{\cf1\insrsid7671464\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 contained in section 7 or section 20 hereof, as the case}{ \cf1\insrsid7671464\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 may be, so as to apply with respect to the whole of the}{\cf1\insrsid7671464\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 continuous area. \par }{\cf1\insrsid7671464\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2) Where an order of incorporation is made or}{\cf1\insrsid7671464\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 is extended pursuant to this section the order shall take}{ \cf1\insrsid7671464\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 effect as if the whole of the land, included therein was}{\cf1\insrsid7671464\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 owned in common by }{ \cf1\insrsid7671464\charrsid15018161 t}{\cf1\insrsid6951014\charrsid15018161 he owners of the several portions thereof. \par }{\cf1\insrsid7671464\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (3) For the purposes of this section any land}{\cf1\insrsid7671464\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 shall be deemed to form a continuous area with any other}{ \cf1\insrsid7671464\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 land although the several portions may be separated by a}{\cf1\insrsid7671464\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 road, st}{ \cf1\insrsid7671464\charrsid15018161 reet, river, or }{\cf1\insrsid6951014\charrsid15018161 stream. \par }{\cf1\insrsid7671464\charrsid15018161 \par }\pard \qc \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid7671464 {\b\cf1\insrsid6951014\charrsid8802643 Exclusion of Area from Order of Incorporation \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6951014 {\cf1\insrsid7671464\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid8802643 19. Exclusion of land from order }{\cf1\insrsid6951014\charrsid15018161 - (1) The Court may}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 at any time by order exclude from any order of incorporation}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 made under this Part any defined portion of the land to}{\cf1\insrsid8284336\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 which that order of incorporation applies. \par }{\cf1\insrsid8284336\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2) By the same or any subsequent order the}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 land so excluded may be vested for an estate in fee simple,}{ \cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 in one or more lots, in any person or persons whom the}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 Court finds to be}{ \cf1\insrsid8284336\charrsid15018161 beneficially entitled thereto.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid8284336\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (3) When an order under subsection (1) hereof}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 becomes operative the land thereby excluded from the order}{ \cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of incorporation shall cease to be subject thereto, but}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 no order for the exclusion of any land from an order of}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 incorporation shall invalidate or prejudicially affect any}{\cf1\insrsid8284336\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 lawful alienation or the right to procure confirmation or}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 registration of any instrument executed before the making}{ \cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of the order of exclusion. \par }{\cf1\insrsid8284336\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (4) All rights, obligations or liabilities}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 arising from any lease, licence, mortgage, or charge to}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 which the area included}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 in the order of incorporation was}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 subject immediately prior to the date of any order of}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 exclusion made hereunder may be apportioned in such manner}{\cf1\insrsid8284336\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 as the Court thinks fit among the several parcels of land}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 that were theretofore included in the order of incorporation}{ \cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 and any such apportionment shall have effect according to}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 its tenor as if all necessary releases, covenants, and all}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 other dispositions had been duly made in that behalf by}{\cf1\insrsid8284336\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 all parties concerned. \par }{\cf1\insrsid8284336\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (5) The Court may also, if necessary, make an}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 order amending the list of incorporated owners and}{\cf1\insrsid8284336\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 declaring}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 the persons subsection}{\cf1\insrsid8284336\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 (1) hereof, or at any time thereafter, the Court may by}{ \cf1\insrsid8284336\charrsid15018161 Borrowing p}{\b\insrsid6951014\charrsid8551742 owers of body}{\b\insrsid9575286\charrsid8551742 }{\b\insrsid6951014\charrsid8551742 corporate }{\insrsid6951014\charrsid8551742 - (1) A body}{\insrsid9575286\charrsid8551742 }{ \insrsid6951014\charrsid8551742 corporate under this Part of this Act shall have the same}{\insrsid9575286\charrsid8551742 }{\insrsid6951014\charrsid8551742 powers of borrowing as a Native under the}{\insrsid9575286\charrsid8551742 }{ \insrsid6951014\charrsid8551742 Cook Islands}{\insrsid9575286\charrsid8551742 }{\insrsid6951014\charrsid8551742 Act 1915 and shal}{\insrsid9575286\charrsid8551742 l}{\insrsid6951014\charrsid8551742 be subjected to the same restrictions}{ \insrsid9575286\charrsid8551742 }{\insrsid6951014\charrsid8551742 as to mortgaging or charging of property. \par }{\insrsid9575286\charrsid8551742 \par }{\insrsid6951014\charrsid8551742 (2}{\insrsid9575286\charrsid8551742 ) }{\insrsid6951014\charrsid8551742 No person lending money to a body corporate}{\insrsid8588575\charrsid8551742 under this Part }{\insrsid6951014\charrsid8551742 of this Act shall be concerned to inquire}{\insrsid8588575\charrsid8551742 as to the necess}{\insrsid6951014\charrsid8551742 ity for the loan or as to the application}{\insrsid8588575\charrsid8551742 of the proceeds }{\insrsid6951014\charrsid8551742 thereof. \par }{\b\cf1\insrsid8588575\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 25. Body}{\b\cf1\insrsid8588575\charrsid16663856 }{\b\cf1\insrsid6951014\charrsid16663856 corporate may acquire land}{\b\cf1\insrsid6951014\charrsid15018161 -}{\cf1\insrsid6951014\charrsid15018161 (1) Subject to }{\cf1\insrsid3933484\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 the provisions of the Cook Islands Act 1915 a body corporate}{\cf1\insrsid3933484\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 under this Part of this Act may, by leave of the Court,}{\cf1\insrsid3933484\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 acquire any land or interest in land, whether by way of}{\cf1\insrsid3933484\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 purchase, lease or otherwise. \par }{\cf1\insrsid3933484\charrsid15018161 \par (2) Th}{\cf1\insrsid6951014\charrsid15018161 e Court, in considering any application}{\cf1\insrsid3933484\charrsid15018161 under subsection }{\cf1\insrsid6951014\charrsid15018161 (1) of this}{\cf1\insrsid3933484\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 section, shall have regard}{\cf1\insrsid3933484\charrsid15018161 to the objects of }{\cf1\insrsid6951014\charrsid15018161 incorporation of the body corporate as}{\cf1\insrsid3933484\charrsid15018161 specified in this }{\cf1\insrsid6951014\charrsid15018161 Part, to the financial position of the}{\cf1\insrsid3933484\charrsid15018161 body corporate, and, }{\cf1\insrsid6951014\charrsid15018161 where the purpose of purchasing the}{ \cf1\insrsid3933484\charrsid15018161 land is to provid}{\cf1\insrsid6951014\charrsid15018161 e }{\cf1\insrsid3933484\charrsid15018161 an investment of }{\cf1\insrsid6951014\charrsid15018161 surplus funds, whether}{\cf1\insrsid3933484\charrsid15018161 or not the inve}{\cf1\insrsid6951014\charrsid15018161 stment is a suitable one in the circumstances. \par }{\cf1\insrsid6951014 \par }{\cf1\insrsid6951014\charrsid15018161 (3) The Court may }{\cf1\insrsid16603100\charrsid15018161 m}{\cf1\insrsid6951014\charrsid15018161 ake orders, under Part XIII}{\cf1\insrsid16603100\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of the Cook Islands Act 1915, for the exchange of any}{\cf1\insrsid16603100\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 Native freehold land vested in a body corporate, for other}{\cf1\insrsid16603100\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 lands or interests in land. \par }{\cf1\insrsid3933484\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (4) All lands acqui}{\cf1\insrsid16603100\charrsid15018161 red by or vested in a body }{\cf1\insrsid6951014\charrsid15018161 corporate under this section}{\cf1\insrsid16603100\charrsid15018161 shall be held by it in trust }{\cf1\insrsid6951014\charrsid15018161 as if they had been vested pur}{\cf1\insrsid16603100\charrsid15018161 suant to the provisions of section 9 hereof.}{\cf1\insrsid6951014\charrsid15018161 \par }{\b\cf1\insrsid3933484\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 26. Committee of m}{\b\cf1\insrsid3302571\charrsid16663856 anageme}{\b\cf1\insrsid6951014\charrsid16663856 nt to be appointed }{\cf1\insrsid6951014\charrsid15018161 - (1) Upon}{ \cf1\insrsid11690479\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 the making of an order of incorporation under this Part of}{\cf1\insrsid11690479\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 this Act, the Court shall, having regard to but not being}{\cf1\insrsid9638116\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 bound by any nominations of members which may be made by}{\cf1\insrsid9638116\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 or on behalf of the owners who have applied for incorporation,}{\cf1\insrsid9638116\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 appoint a committee of management consisting of not}{ \cf1\insrsid9638116\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 less than three and not more}{\cf1\insrsid9638116\charrsid15018161 than eleven persons.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid9638116\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2) The Court may}{\cf1\insrsid9638116\charrsid15018161 from time to time, on the }{\cf1\insrsid6951014\charrsid15018161 application of the incorporate}{\cf1\insrsid9638116\charrsid15018161 d owners, appoint additional }{\cf1\insrsid6951014\charrsid15018161 members to a committee of man}{\cf1\insrsid9638116\charrsid15018161 agement:}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid9638116\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 Provided that at no time sh}{\cf1\insrsid9638116\charrsid15018161 all the }{\cf1\insrsid3437329\charrsid15018161 number of members exceeds}{\cf1\insrsid6951014\charrsid15018161 eleven. \par }{\cf1\insrsid9638116\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (3) The incorporate}{\cf1\insrsid9638116\charrsid15018161 d owners (or their trustees in the case of owners under disability) of any body }{\cf1\insrsid6951014\charrsid15018161 corporate shall from time to}{ \cf1\insrsid9638116\charrsid15018161 time as may be required and }{\cf1\insrsid6951014\charrsid15018161 in the manner prescribed elect}{\cf1\insrsid9638116\charrsid15018161 members to fill vacancies }{\cf1\insrsid6951014\charrsid15018161 on the committee of management. \par }{\cf1\insrsid9638116\charrsid15018161 \par (4) No person sh}{\cf1\insrsid6951014\charrsid15018161 all}{\cf1\insrsid10899228\charrsid15018161 be disqualified from being }{\cf1\insrsid6951014\charrsid15018161 elected or from holding office}{\cf1\insrsid10899228\charrsid15018161 as a member of the committee }{\cf1\insrsid6951014\charrsid15018161 by reason of his employment as}{\cf1\insrsid10899228\charrsid15018161 a servant or officer of the }{\cf1\insrsid6951014\charrsid15018161 body corporate or of his being}{ \cf1\insrsid10899228\charrsid15018161 interested or concerned in a contract made by the body corporate:}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid10899228\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 Provided that a member of th}{\cf1\insrsid10899228\charrsid15018161 e committee shall not vote }{\cf1\insrsid6951014\charrsid15018161 or take part in the discussio}{\cf1\insrsid10899228\charrsid15018161 n of any matter before the }{\cf1\insrsid6951014\charrsid15018161 committee that directly or ind}{\cf1\insrsid10899228\charrsid15018161 irectly affects his remunera}{\cf1\insrsid6951014\charrsid15018161 tion or the terms of his emplo}{ \cf1\insrsid10899228\charrsid15018161 yment as a servant or }{\cf1\insrsid6951014\charrsid15018161 officer of the}{\cf1\insrsid10899228\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 body corporate}{\cf1\insrsid10899228\charrsid15018161 or th at directly or }{\cf1\insrsid6951014\charrsid15018161 indirectly affects any contrac}{\cf1\insrsid10899228\charrsid15018161 t in which he may be }{\cf1\insrsid6951014\charrsid15018161 interested or concerned. \par }{\cf1\insrsid9638116\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (5) The persons}{\cf1\insrsid1979011\charrsid15018161 so elected need not be members }{\cf1\insrsid6951014\charrsid15018161 of the body corporate. \par }{\cf1\insrsid1979011\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (6) The persons so elected shall be appointed by}{\cf1\insrsid1979011\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 order of the Court as a committee of management, and shall}{ \cf1\insrsid1979011\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 not commence to hold office until an order of appointment}{\cf1\insrsid1979011\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 has been so made. \par }{\cf1\insrsid1979011\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (7) The Co}{\cf1\insrsid1979011\charrsid15018161 urt may, on sufficient cause being }{\cf1\insrsid6951014\charrsid15018161 shown, refuse to appo}{\cf1\insrsid1979011\charrsid15018161 int any person so elected, and may }{\cf1\insrsid6951014\charrsid15018161 thereupon either order}{\cf1\insrsid1979011\charrsid15018161 that a new election (8) hereof, no person }{\cf1\insrsid6951014\charrsid15018161 shall be appointed}{ \cf1\insrsid7826182\charrsid15018161 or shall continue to hold office as a member of a committee of management who is {\cf1\insrsid7826182\charrsid15018161 (a) A person of unsound mind within the meaning of Part XXI of the Cook Islands Act 1915; \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid5795557 {\cf1\insrsid7826182\charrsid15018161 \par }\pard \ql \li720\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin720\itap0\pararsid7826182 {\cf1\insrsid7826182\charrsid15018161 (b) A person convicted of any offence punishable by imprisonment for a term of six months or longer, unless he has served his sentence or otherwis}{\cf1\insrsid11743716 e suffered the penalty imposed upo}{\cf1\insrsid7826182\charrsid15018161 n him. \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6951014 {\cf1\insrsid7826182\charrsid15018161 \par (10) If the incorporated owners at any time make }{\cf1\insrsid6951014\charrsid15018161 default in electing a committee, the Court may appoint}{\cf1\insrsid7826182\charrsid15018161 a committee, and }{\cf1\insrsid6951014\charrsid15018161 any committee so appointed may consist of}{\cf1\insrsid7826182\charrsid15018161 such number of pers}{\cf1\insrsid6951014\charrsid15018161 ons being not }{\cf1\insrsid11743716 les}{\cf1\insrsid6951014\charrsid15018161 s than three or more}{ \cf1\insrsid7826182\charrsid15018161 than eleven, as the }{\cf1\insrsid6951014\charrsid15018161 Court thinks fit. \par }{\cf1\insrsid7826182\charrsid15018161 \par (11) If any }{\cf1\insrsid6951014\charrsid15018161 person elected by the owners to be}{\cf1\insrsid7826182\charrsid15018161 a member of the comm}{\cf1\insrsid6951014\charrsid15018161 ittee of management dies before he}{ \cf1\insrsid7826182\charrsid15018161 has been appointed, }{\cf1\insrsid6951014\charrsid15018161 the Court may appoint any other person}{\cf1\insrsid7826182\charrsid15018161 in his place.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid7826182\charrsid15018161 \par (12) If }{\cf1\insrsid6951014\charrsid15018161 any member of a committee of management}{\cf1\insrsid7826182\charrsid15018161 dies, or resigns, }{\cf1\insrsid6951014\charrsid15018161 or is removed from office, the Court}{ \cf1\insrsid7826182\charrsid15018161 may appoint any ot}{\cf1\insrsid6951014\charrsid15018161 her person in his place. \par }{\cf1\insrsid7826182\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 29. Rotation}{\b\cf1\insrsid7826182\charrsid16663856 of }{\b\cf1\insrsid6951014\charrsid16663856 members of }{\b\cf1\insrsid7826182\charrsid16663856 committee }{\cf1\insrsid7826182\charrsid15018161 - (1) The members of }{\cf1\insrsid6951014\charrsid15018161 every}{\cf1\insrsid7826182\charrsid15018161 committee of management shall hold office }{\cf1\insrsid6951014\charrsid15018161 in accordance with}{\cf1\insrsid7826182\charrsid15018161 this section.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid7826182\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2) On}{\cf1\insrsid5439919\charrsid15018161 the expiration of the first period of }{\cf1\insrsid6951014\charrsid15018161 three years after}{\cf1\insrsid5439919\charrsid15018161 the members of a committee of manage }{\cf1\insrsid6951014\charrsid15018161 ment have come in}{\cf1\insrsid5439919\charrsid15018161 to office one-third of the members shall }{\cf1\insrsid6951014\charrsid15018161 retire on the ex}{\cf1\insrsid5439919\charrsid15018161 piration of the fourth year an equal }{\cf1\insrsid6951014\charrsid15018161 number of the rema}{\cf1\insrsid5439919\charrsid15018161 ining original members shall retire. }{\cf1\insrsid6951014\charrsid15018161 The members so to}{ \cf1\insrsid5439919\charrsid15018161 retire in any year, shall, where necessary, be determined by agreement or by lot.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid5439919\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (3) Wh}{\cf1\insrsid1599495\charrsid15018161 ere in accordance with subsection (2) }{\cf1\insrsid6951014\charrsid15018161 of this section}{\cf1\insrsid1538835\charrsid15018161 any members are to retire at the end of }{\cf1\insrsid6951014\charrsid15018161 a period and no}{\cf1\insrsid1538835\charrsid15018161 determination as to which of those members }{\cf1\insrsid6951014\charrsid15018161 shall retire has}{ \cf1\insrsid1538835\charrsid15018161 been made under that subsection, the }{\cf1\insrsid6951014\charrsid15018161 term of office of}{\cf1\insrsid1538835\charrsid15018161 all the members required to make the }{\cf1\insrsid6951014\charrsid15018161 determination sha}{\cf1\insrsid1538835\charrsid15018161 ll expire on the fourteenth day after the end of the period.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid1538835\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (4) Fo}{\cf1\insrsid1538835\charrsid15018161 r the purpose of this section a member }{\cf1\insrsid6951014\charrsid15018161 appointed to fill}{\cf1\insrsid1538835\charrsid15018161 the vacancy caused by the death, resignation, or removal from office of an original member shall be deemed to be an original member.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid1538835\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (5) Where the total num}{\cf1\insrsid7630618\charrsid15018161 ber of members }{\cf1\insrsid1395417\charrsid15018161 of a }{\cf1\insrsid6951014\charrsid15018161 committee is not three or}{ \cf1\insrsid1395417\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 a multip}{\cf1\insrsid1395417\charrsid15018161 le of three, one-third }{\cf1\insrsid6951014\charrsid15018161 of the members shall, for the purp}{ \cf1\insrsid1395417\charrsid15018161 oses of this section, }{\cf1\insrsid6951014\charrsid15018161 be deemed to be one-third of the}{\cf1\insrsid1395417\charrsid15018161 next highest number }{\cf1\insrsid6951014\charrsid15018161 which is a multiple of three. \par }{\cf1\insrsid7630618\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (6) Where the number of}{\cf1\insrsid17836\charrsid15018161 members of a committee of management is increased after the first appointment }{\cf1\insrsid6951014\charrsid15018161 of members the new members shall}{ \cf1\insrsid17836\charrsid15018161 be appointed for a term of three }{\cf1\insrsid6951014\charrsid15018161 years. \par }{\cf1\insrsid7630618\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (7) All members of a co}{\cf1\insrsid17836\charrsid15018161 mmittee of management }{\cf1\insrsid6951014\charrsid15018161 appointed to fill vacancies caused}{\cf1\insrsid17836\charrsid15018161 by the retirement of }{ \cf1\insrsid6951014\charrsid15018161 members pursuant to this}{\cf1\insrsid17836\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 section}{\cf1\insrsid17836\charrsid15018161 shall be appointed for a }{\cf1\insrsid6951014\charrsid15018161 term of three years. \par }{\cf1\insrsid17836\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (8) Any member of a comm}{\cf1\insrsid17836\charrsid15018161 ittee }{\cf1\insrsid5190972\charrsid15018161 who vacates office }{\cf1\insrsid6951014\charrsid15018161 pursuant to this section shall be}{ \cf1\insrsid5190972\charrsid15018161 eligible for re-election.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid5190972\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (9) The provisions of}{\cf1\insrsid5190972\charrsid15018161 section 28 of this Part of this Act shall, with the necessary modifications, apply to the appointment }{\cf1\insrsid6951014\charrsid15018161 of members of a}{\cf1\insrsid5190972\charrsid15018161 committee of management }{\cf1\insrsid6951014\charrsid15018161 pursuant to this section. \par }{\cf1\insrsid5190972\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (10) Subject to the provisions of this section,}{\cf1\insrsid5190972\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 the retirement of members in any year shall be in accordance}{ \cf1\insrsid5190972\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 with regulations made under this Act. \par }{\cf1\insrsid5190972\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (11) Notwithstanding anything to the contrary in}{\cf1\insrsid5190972\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 this section, every member of a com}{\cf1\insrsid5190972\charrsid15018161 m}{ \cf1\insrsid6951014\charrsid15018161 ittee of management,}{\cf1\insrsid5190972\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 unless he sooner vacates his office, shall continue in}{\cf1\insrsid5190972\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 office until his successor, comes into office, or until the}{\cf1\insrsid5190972\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 expiration of four months after the date when he is due to}{ \cf1\insrsid5190972\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 retire in accordance with the foregoing provisions of this}{\cf1\insrsid5190972\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 section, whichever is the sooner. \par }{\cf1\insrsid5190972\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (12) Any person who acts}{\cf1\insrsid14435392\charrsid15018161 or attempts to act as a }{\cf1\insrsid6951014\charrsid15018161 member of a committee of managemen}{\cf1\insrsid14435392\charrsid15018161 t when no longer entitled to do so }{\cf1\insrsid6951014\charrsid15018161 under this section commit}{\cf1\insrsid14435392\charrsid15018161 s an offence and shall be }{\cf1\insrsid6951014\charrsid15018161 liable on conviction to a fine not}{ \cf1\insrsid14435392\charrsid15018161 exceeding twenty dollars.}{\cf1\insrsid6951014\charrsid15018161 \par }{\b\cf1\insrsid14435392\charrsid15018161 \par }{\b\cf1\insrsid14435392\charrsid16663856 30. Validity of order of appointment }{\cf1\insrsid14435392\charrsid15018161 - No order appointing any person as a member of a committee of management shall be }{\cf1\insrsid6951014\charrsid15018161 questioned or invalidated on the g}{\cf1\insrsid14435392\charrsid15018161 round of any error or irregularity in the mode of his election or appointment, and no act of the committee shall be questioned or invalidated on the ground of any vacancy in the membership thereof.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid14435392\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 31. Committee of management}{\b\cf1\insrsid14435392\charrsid16663856 to exercise powers of }{\b\cf1\insrsid6951014\charrsid16663856 body corporate }{\cf1\insrsid6951014\charrsid15018161 - (1)}{ \cf1\insrsid3437329\charrsid15018161 The powers and functions }{\cf1\insrsid6951014\charrsid15018161 of a body corporate under this Part}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 exercised on its behalf by its }{ \cf1\insrsid3437329\charrsid15018161 committee of management and }{\cf1\insrsid6951014\charrsid15018161 not otherwise: \par }{\cf1\insrsid3437329\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 Provided that the committee shall}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid11743716 not exercise any of the }{\cf1\insrsid6951014\charrsid15018161 powers or fun}{\cf1\insrsid3437329\charrsid15018161 ctions of the body}{\cf1\insrsid11743716 corporate}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid11743716 except in}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 accordance with the terms of and}{ \cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid11743716 subject to any conditions }{\cf1\insrsid6951014\charrsid15018161 imposed by a resolution passed at}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid11743716 general meeting of the }{ \cf1\insrsid6951014\charrsid15018161 owners. \par }{\cf1\insrsid14435392\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2) Notwithstanding the}{\cf1\insrsid3437329\charrsid15018161 provisions of subsection }{\cf1\insrsid6951014\charrsid15018161 (1) hereof the body corporate shall}{\cf1\insrsid3437329\charrsid15018161 }{ \cf1\insrsid11743716 be bound by every acts }{\cf1\insrsid6951014\charrsid15018161 of the committee purporting to be}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid9454884 one pursuant to a }{\cf1\insrsid6951014\charrsid15018161 general or special authority confer}{\cf1\insrsid9454884 red on it by resolution of}{\cf1\insrsid6951014\charrsid15018161 the owners, and no person shall}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid9454884 be concerned to inquire }{ \cf1\insrsid6951014\charrsid15018161 whether or not the committee has be}{\cf1\insrsid9454884 en duly authorised by}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 resolution of the owners, or as to}{ \cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid9454884 the terms and conditions }{\cf1\insrsid6951014\charrsid15018161 of any such resolution. \par }{\cf1\insrsid3437329\charrsid15018161 \par (3) }{\cf1\insrsid6951014\charrsid15018161 The powers of the committee may be}{\cf1\insrsid3437329\charrsid15018161 exercised by a }{\cf1\insrsid6951014\charrsid15018161 majority of the members thereof for the}{\cf1\insrsid3437329\charrsid15018161 }{ \cf1\insrsid2956582 time being in }{\cf1\insrsid6951014\charrsid15018161 office, but no decision of the committee}{\cf1\insrsid3437329\charrsid15018161 shall be effective}{\cf1\insrsid6951014\charrsid15018161 unless at least three members concur}{ \cf1\insrsid3437329\charrsid15018161 therein. \par \par (4) }{\cf1\insrsid6951014\charrsid15018161 Except as may be provided by regulations}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid2956582 under this Act, }{\cf1\insrsid6951014\charrsid15018161 and subject to any conditions that may}{ \cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid2956582 be imposed on }{\cf1\insrsid6951014\charrsid15018161 the committee by resolution passed at a}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid4268875\charrsid15018161 general meeting }{ \cf1\insrsid6951014\charrsid15018161 of owners, the committee may regulate}{\cf1\insrsid3437329\charrsid15018161 }{\cf1\insrsid2956582 its procedure }{\cf1\insrsid6951014\charrsid15018161 as it thinks fit.}{\cf1\insrsid3437329\charrsid15018161 \par \par }{\b\cf1\insrsid3437329\charrsid16663856 32. Contracts}{\b\cf1\insrsid5795557 }{\cf1\insrsid3437329\charrsid15018161 -}{\cf1\insrsid6951014\charrsid15018161 A contract made by the committee}{\cf1\insrsid4268875\charrsid15018161 }{\cf1\insrsid2956582 of management }{\cf1\insrsid6951014\charrsid15018161 on behalf of the body corporate, other than}{\cf1\insrsid4268875\charrsid15018161 }{\cf1\insrsid2956582 an alienation }{\cf1\insrsid6951014\charrsid15018161 of land, need not be under the seal of the}{ \cf1\insrsid4268875\charrsid15018161 }{\cf1\insrsid2956582 body corporate }{\cf1\insrsid6951014\charrsid15018161 but may be made in the same manner as the}{\cf1\insrsid4268875\charrsid15018161 }{\cf1\insrsid2956582 like contract }{ \cf1\insrsid4268875\charrsid15018161 made between individuals.}{\cf1\insrsid6951014\charrsid15018161 \par }{\b\cf1\insrsid4268875\charrsid15018161 \par }{\b\cf1\insrsid4268875\charrsid16663856 33. Accounts}{\b\cf1\insrsid5795557 }{\b\cf1\insrsid4268875\charrsid15018161 -}{\b\cf1\insrsid12526579\charrsid15018161 }{\cf1\insrsid4268875\charrsid15018161 (1) The committee of management shall at a ll times keep true and proper accounts of its receipts and payments, and of the income and expenditure and }{\cf1\insrsid2956582 the }{\cf1\insrsid4268875\charrsid15018161 assets and liabilities of the body corporate. \par \par (2) The account shall be audited by a person approved in writing by the Registrar of the Land Court for that purpose and a duly audited statement of accounts, with a profit and}{\cf1\insrsid2956582 loss account and balance sheet,}{ \cf1\insrsid4268875\charrsid15018161 sh}{\cf1\insrsid2956582 all in each year}{\cf1\insrsid4268875\charrsid15018161 be submitted to a general meeting of landowners to be held not later than six months after the end of the period to which the accounts relate. \par \par (3)}{\cf1\insrsid2956582 W}{\cf1\insrsid7353790\charrsid15018161 ith respect to the assets of the body corporate other than land that has been vested in it by virtue of the original order of incorporation or of an order amending or ext}{ \cf1\insrsid8395085\charrsid15018161 ending }{\cf1\insrsid7353790\charrsid15018161 that order or made in substitution therefore, the balanc e sheet shall be accompanied by a statement setting forth the estimated current market value thereof, together with a statement of the liabilities }{\cf1\insrsid2956582 (}{\cf1\insrsid7353790\charrsid15018161 if any) of the body corporate}{ \cf1\insrsid6624291\charrsid15018161 charged on or relating particularly to those assets.}{\cf1\insrsid4268875\charrsid15018161 \par }{\cf1\insrsid6624291\charrsid15018161 \par }{\cf1\insrsid3544311\charrsid15018161 (4) The incorporated owners shall at general meeting }{\cf1\insrsid2956582 in }{\cf1\insrsid3544311\charrsid15018161 each year appoint a person approved in writing by the Registrar of the Land Court for the purpose, to audit the accounts for the ensuing year. \par \par (5) A copy of the statement of accounts and other documents shall be filed in th e court within fourteen days after their submission as hereinbefore required to a general meeting of owners and shall during office hours be open to public inspection on payment of the fee (if any}{\cf1\insrsid2956582 ) prescribed in respect thereof}{ \cf1\insrsid3544311\charrsid15018161 . \par \par (6) For the purpose of subsections (2)}{\cf1\insrsid4352725\charrsid15018161 and (5) of this section, the expression \'93statement of accounts\'94 shall be deemed to include any report made by the }{\cf1\insrsid2956582 auditor in respect of the account of the body corporate}{\cf1\insrsid4352725\charrsid15018161 or of the operations to which those accounts relate.}{\cf1\insrsid6951014\charrsid15018161 \par }{\b\cf1\insrsid4352725\charrsid15018161 \par }{\b\cf1\insrsid4352725\charrsid16663856 34. shall be entitled to receive reasonable travelling allowances, at a rate to be fixed at a general meeting of owners, or a refund of the expenses actually and rea sonably incurred by them in attending or returning from meetings of the committee and shall, in addition, be entitled, subject to the consent of the court to receive such fees (if any) in respect of their services as may be authorised at of}{\b\cf1\insrsid12526579\charrsid16663856 }{\b\cf1\insrsid6951014\charrsid16663856 meetings of incorporated owners } {\cf1\insrsid6951014\charrsid15018161 - (1)}{\cf1\insrsid9254862\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 General meetings of incorporated owners shall from time to}{\cf1\insrsid9254862\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 time be hel}{\cf1\insrsid9254862\charrsid15018161 d as required by this Act or by }{\cf1\insrsid6951014\charrsid15018161 regulations}{\cf1\insrsid9254862\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 thereunder. \par \par (2) The Court may at any time by order direct}{\cf1\insrsid9254862\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 the holding of a special general meeting of incorporated}{\cf1\insrsid9254862\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 owners. \par }{\cf1\insrsid9254862\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (3) All general meetings shall be summoned}{\cf1\insrsid9254862\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 in manner prescribed by regulations made for the purposes}{ \cf1\insrsid9254862\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of this Act. \par }{\cf1\insrsid9254862\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (4) Subject to any}{\cf1\insrsid4137567\charrsid15018161 }{\cf1\insrsid15811889 regulations under this Act, any }{\cf1\insrsid6951014\charrsid15018161 owner may attend and vote}{\cf1\insrsid9254862\charrsid15018161 }{\cf1\insrsid15811889 at any meeting of the }{\cf1\insrsid6951014\charrsid15018161 incorporated owners either per}{\cf1\insrsid15811889 sonally or by a proxy}{\cf1\insrsid9254862\charrsid15018161 }{\cf1\insrsid4137567\charrsid15018161 app}{ \cf1\insrsid6951014\charrsid15018161 ointed by him in writing. \par }{\cf1\insrsid4137567\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (5) Any owner who is}{\cf1\insrsid13592494 under disability and for}{\cf1\insrsid4137567\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 whom a trustee is in office und}{ \cf1\insrsid12526579\charrsid15018161 er Part XVII of the Cook }{\cf1\insrsid6951014\charrsid15018161 Islands Act 1915 shall, for the}{\cf1\insrsid4137567\charrsid15018161 purpose}{\cf1\insrsid13592494 s}{\cf1\insrsid4137567\charrsid15018161 of this section, }{\cf1\insrsid6951014\charrsid15018161 be represented by his trustee}{\cf1\insrsid4137567\charrsid15018161 }{\cf1\insrsid13592494 who may attend, vote, and }{\cf1\insrsid6951014\charrsid15018161 act at any meeting either perso}{ \cf1\insrsid4137567\charrsid15018161 n}{\cf1\insrsid13592494 ally or by a }{\cf1\insrsid13592494 as if the trustee }{\cf1\insrsid6951014\charrsid15018161 were an owner. \par }{\cf1\insrsid4137567\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (6) Unless on any qu}{\cf1\insrsid4137567\charrsid15018161 estion submitted at a }{\cf1\insrsid6951014\charrsid15018161 general meeting to a vote of th}{\cf1\insrsid4137567\charrsid15018161 e}{\cf1\insrsid6295747 owners, a poll demanded}{\cf1\insrsid4137567\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 by not less than five}{\cf1\insrsid4137567\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 persons pr}{\cf1\insrsid4137567\charrsid15018161 esent in person at the meeting}{\cf1\insrsid6951014\charrsid15018161 , or by any person or pe}{\cf1\insrsid4137567\charrsid15018161 rsons }{\cf1\insrsid1538732 in}{ \cf1\insrsid15015710\charrsid15018161 corporation, or by an order amending or extending the same, consists wholly of an area or of separate areas of land owned by the same owners, the voting powers of the several owners shall be in direct proportion}{ \cf1\insrsid1538732 to their interests in the land;}{\cf1\insrsid15015710\charrsid15018161 \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6951014 {\cf1\insrsid15015710\charrsid15018161 \par }\pard \ql \li720\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin720\itap0\pararsid7235283 {\cf1\insrsid6951014\charrsid15018161 (b) In any case to}{\cf1\insrsid2818063\charrsid15018161 }{\cf1\insrsid3298821\charrsid15018161 which the provi sions of paragraph (a) hereof do not apply, the voting powers of the owners shall be determined separately in respect of each separate area. If the undertaking of the body corporate is a joint undertaking the voting powers of the owners in respect of all }{\cf1\insrsid1538732 the }{\cf1\insrsid3298821\charrsid15018161 areas shall be apportioned between the several areas in the same manner as the assets and }{\cf1\insrsid7235283\charrsid15018161 liabilities}{\cf1\insrsid3298821\charrsid15018161 are apportioned under that section. In any other case the voting powers shall be apportioned between the seve}{\cf1\insrsid1538732 ral areas by order of the court;}{\cf1\insrsid3298821\charrsid15018161 \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6951014 {\cf1\insrsid7235283\charrsid15018161 \par }\pard \ql \li720\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin720\itap0\pararsid7235283 {\cf1\insrsid7235283\charrsid15018161 (c) When the voting powers of the several areas have been apportioned as hereinbefore provided, the value of the votes for each such area shall be determined in accordance with the provisions of paragraph (a) hereof. \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6951014 {\cf1\insrsid7235283\charrsid15018161 \par (8) A person acting as proxy for more than one owner, or a trustee or his proxy acting for a person under disability shall be entitled to vote separately for each person or whom he so acts. \par \par }{\cf1\insrsid6951014\charrsid15018161 (9) No pers}{\cf1\insrsid7235283\charrsid15018161 on shall be competent to act as }{\cf1\insrsid6951014\charrsid15018161 the proxy for any owner at a meeting of incorporated}{\cf1\insrsid7235283\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 owners if that person is either a member of the committee}{\cf1\insrsid7235283\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of management or has consented, before or at that meeting,}{ \cf1\insrsid7235283\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 to be nominated as a member of the committee of management. \par }{\cf1\insrsid7235283\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (10) The Court may from time to time fix the}{\cf1\insrsid7235283\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 quorum for any general meeting of incorporated owners.}{\cf1\insrsid7235283\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 Unless and until a quorum has been so fixed, the quorum}{\cf1\insrsid7235283\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 for any such meeting shall be twenty persons (whether}{ \cf1\insrsid7235283\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 members or proxies for members) or a number of persons}{\cf1\insrsid7235283\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 equal to two-thirds of the total number of members}{\cf1\insrsid8395085\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 (whichever is the less). permits the commission of any such offence, shall be liable on conviction to a fine not exceeding twenty dollars and, if the offence is a continuing one, to a further fine not exceeding four}{\cf1\insrsid5047871\charrsid15018161 dollars for every day during which the offence continues. \par \par (2) Following acts or commissions are hereby constituted offences to which the provisions \li720\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin720\itap0\pararsid5047871 {\cf1\insrsid6951014\charrsid15018161 (f)}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 The making of any payment from the} {\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 funds of the body corporate which}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 is not authorised by or pursuant}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 to this Part of this Act. \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6951014 {\cf1\insrsid6951014\charrsid15018161 \par (3)}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 For the purposes of this section the}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 expression "officer of a body corporate" shall include}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 a member of the committee of management of a body}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 corporate, and the secretary of a body corporate. \par }{\cf1\insrsid595857\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (4) Any information for an offence under}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 this section may be laid at any time within three}{\cf1\insrsid595857\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 years after the date of the commission of the act in}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 respect of which the proceedings are taken.}{\cf1\insrsid595857\charrsid15018161 \par }{\b\cf1\insrsid595857\charrsid15018161 \par }\pard \qc \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid12526579 {\b\cf1\insrsid595857\charrsid15018161 PART II}{\b\cf1\insrsid6951014\charrsid15018161 I - POWERS OF ASSEMBLED OWNERS \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6951014 {\cf1\insrsid595857\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 39. Application of this Part}{\cf1\insrsid6951014\charrsid15018161 - (1) This Part}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of this Act applies with respect to Native freehold}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 land. \par }{\cf1\insrsid595857\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2) Except so far as may be otherwise}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 expressly provided this Part of this Act shall extend}{\cf1\insrsid595857\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 and apply to land that is vested in a body corporate}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of owners or in any trustee. \par }{\b\cf1\insrsid595857\charrsid15018161 \par }{\b\insrsid6951014\charrsid13441673 40. "Owners" and "ass}{\b\insrsid595857\charrsid13441673 embled owners" defined}{\insrsid595857\charrsid13441673 - (1) In }{\insrsid6951014\charrsid13441673 this Part of this Act the term }{ \insrsid595857\charrsid13441673 "}{\insrsid6951014\charrsid13441673 owners}{\insrsid595857\charrsid13441673 "}{\insrsid6951014\charrsid13441673 in relation to}{\insrsid595857\charrsid13441673 }{\insrsid6951014\charrsid13441673 any area of land means the persons who are beneficially}{\insrsid595857\charrsid13441673 }{\insrsid6951014\charrsid13441673 entitled to that land in fee simple as tenants in}{\insrsid595857\charrsid13441673 }{\insrsid6951014\charrsid13441673 common whether legal or}{\insrsid595857\charrsid13441673 }{\insrsid6951014\charrsid13441673 equitable and includes but not}{\insrsid595857\charrsid13441673 }{\insrsid6951014\charrsid13441673 to the exclusion of the pers}{\insrsid595857\charrsid13441673 o}{\insrsid6951014\charrsid13441673 ns entitled in remainder,}{\insrsid595857\charrsid13441673 }{\insrsid6951014\charrsid13441673 the owner of a beneficial freehold interest for life or}{\insrsid595857\charrsid13441673 }{ \insrsid6951014\charrsid13441673 any}{\insrsid595857\charrsid13441673 }{\insrsid6951014\charrsid13441673 other beneficial freehold interest less than the fee}{\insrsid595857\charrsid13441673 }{\insrsid6951014\charrsid13441673 simple in any}{ \insrsid595857\charrsid13441673 }{\insrsid6951014\charrsid13441673 land or in any share therein. \par }{\cf1\insrsid595857\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2) In this Part of this Act the term}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 "assembled owners" means with respect to any land the}{\cf1\insrsid595857\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 owners thereof as hereinbefore defined assembled together}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 in a meeting called and held in accordance with this Part}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of this Act and with any regulations relating thereto. \par }{\b\cf1\insrsid595857\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 41. Sale of timber, etc}{\b\cf1\insrsid7104982 .}{\b\cf1\insrsid6951014\charrsid16663856 , to constitute alienation}{\b\cf1\insrsid595857\charrsid16663856 }{\b\cf1\insrsid6951014\charrsid16663856 for purposes of this Part}{\cf1\insrsid6951014\charrsid15018161 - For the purposes}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of this Part of this Act, a contract of sale of any}{\cf1\insrsid595857\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 timber, minerals or other valuable thing (other than}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 industrial crops) attached to or forming part of any}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 Native Land, or any contract, licence or grant conferring}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 upon any p}{ \cf1\insrsid595857\charrsid15018161 erson (whether by way of agency }{\cf1\insrsid6951014\charrsid15018161 or otherwise)}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 the right to enter upon any Native Land for the purpose}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of removing therefrom any timber, flax, minerals or}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 other valuable thing (other than industrial crops) }{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 attached thereto or forming part thereof shall }{\cf1\insrsid595857\charrsid15018161 b}{\cf1\insrsid6951014\charrsid15018161 e deemed}{\cf1\insrsid595857\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 to be an alienation of that land, unless the thing so}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 sold or agreed to be sold or authorised to be removed has}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 been severed from the land before the contract, licence}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 or grant is made or granted. \par }{\b\cf1\insrsid595857\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 42. Powers of assembled owners }{\cf1\insrsid6951014\charrsid15018161 - The assembled}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 owners of any land to which this Part of}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 this Act applies}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 shall have in respect thereof the powers conferred by}{ \cf1\insrsid595857\charrsid15018161 thi}{\cf1\insrsid6951014\charrsid15018161 s Part of this Act. \par }{\b\cf1\insrsid595857\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 43. Meetings of assembled owners to be summoned}{\b\cf1\insrsid595857\charrsid16663856 }{\b\cf1\insrsid6951014\charrsid16663856 by Court}{\cf1\insrsid6951014\charrsid15018161 - (1)}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 Meetings of assembled owners shall}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 be summoned by the Registrar by direction of the Court}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 given on application made in accordance with this section: \par }{\cf1\insrsid595857\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 Provided that where application is made by or on}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 behalf}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of the Crown the Registrar shall summon a meeting of}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 owners without submitting the application to the Court. \par }{\cf1\insrsid595857\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2) Every application made for the purposes}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of this section shall specify the purpose or}{\cf1\insrsid5795557 }{ \cf1\insrsid6951014\charrsid15018161 the}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 several purposes for which a meeting of owners is sought;}{\cf1\insrsid5047871\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 and shall be accompanied by a copy of the resolution}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 or the several resolutions proposed to be submitted to}{\cf1\insrsid595857\charrsid15018161 }{ \cf1\insrsid5047871\charrsid15018161 the meeting.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid595857\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (3) Application for the summoning of a}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 meeting of assembled owners may be made by any person}{\cf1\insrsid595857\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 interested. \par }{\cf1\insrsid595857\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (4) Every application made under this section}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 other than an application made by or on behalf of the}{\cf1\insrsid595857\charrsid15018161 } {\cf1\insrsid6951014\charrsid15018161 Crown shall be accompanied by the prescribed fee. \par \par (5) Except in cases where the application}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 for a meeting of owners is made by or on behalf of the}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 Crown the summoning of a meeting shall be in the}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 discretion of the Court. \par }{\cf1\insrsid595857\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (6) Every such meeting shall be held at such}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 time and place as the Court or Registrar appoints and}{\cf1\insrsid595857\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 shall be summoned by the Registrar in the prescribed}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 manner. \par }{\cf1\insrsid595857\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (7) No meeting duly summoned in the prescribed manner}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 and no resolution passed thereat shall be invalidated or}{ \cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 otherwise affected by the circumstance that any owner has not}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 in fact received notice of the holding of that meeting. \par }{\cf1\insrsid595857\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 44.}{\b\cf1\insrsid595857\charrsid16663856 }{\b\cf1\insrsid6951014\charrsid16663856 Notice of proposed resolutions to be given to}{\b\cf1\insrsid595857\charrsid16663856 }{\b\cf1\insrsid6951014\charrsid16663856 owners}{\b\cf1\insrsid6951014\charrsid15018161 -}{\cf1\insrsid6951014\charrsid15018161 }{\cf1\insrsid595857\charrsid15018161 (}{\cf1\insrsid6951014\charrsid15018161 1}{\cf1\insrsid595857\charrsid15018161 )}{\cf1\insrsid6951014\charrsid15018161 Every notice summoning a meeting of the}{\cf1\insrsid595857\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 assembled owners shall have incorporated therein or attached}{\cf1\insrsid595857\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 thereto a statement of the terms of every proposed, resolution}{\cf1\insrsid5047871\charrsid15018161 that is to be submitted to the meeting. }{\cf1\insrsid6951014\charrsid15018161 Except as provided}{ \cf1\insrsid595857\charrsid15018161 in subsection}{\cf1\insrsid6951014\charrsid15018161 (2) hereof no resolu}{\cf1\insrsid595857\charrsid15018161 t}{\cf1\insrsid6951014\charrsid15018161 i}{\cf1\insrsid595857\charrsid15018161 o}{ \cf1\insrsid6951014\charrsid15018161 n shall be proposed at the}{\cf1\insrsid5047871\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 meeting }{\cf1\insrsid1123598\charrsid15018161 unless notice}{\cf1\insrsid5047871\charrsid15018161 thereof has been given in accordance with this section.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid5047871\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2)}{\cf1\insrsid5047871\charrsid15018161 Where a resolution in accordance with paragraphs (}{\cf1\insrsid6951014\charrsid15018161 b) and (c) }{\cf1\insrsid13245887 of subsection (1) of section 51 hereof is re jected }{\cf1\insrsid6951014\charrsid15018161 by the meeting a resolution in accordance with paragraph (e)}{\cf1\insrsid5047871\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 thereof may be submitted to the meeting notwithstanding that}{ \cf1\insrsid5047871\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 notice thereof may not have been given in accordance with this}{\cf1\insrsid5047871\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 section.}{ \cf1\insrsid5047871\charrsid15018161 }{\cf1\insrsid1123598\charrsid15018161 \par }{\b\cf1\insrsid1123598\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 45. Procedure at meetings }{\cf1\insrsid6951014\charrsid15018161 - (1) No meeting of assembled}{\cf1\insrsid1123598\charrsid15018161 }{\cf1\insrsid13245887 owners shall }{\cf1\insrsid6951014\charrsid15018161 be deemed to be properly constituted unless at}{\cf1\insrsid1123598\charrsid15018161 least five in}{\cf1\insrsid6951014\charrsid15018161 dividuals entitled to vote and representing at}{\cf1\insrsid9785089 least}{\cf1\insrsid1123598\charrsid15018161 one quarter of the beneficial}{\cf1\insrsid6951014\charrsid15018161 freehold interest in the land}{\cf1\insrsid1123598\charrsid15018161 }{\cf1\insrsid9785089 are present }{\cf1\insrsid1123598\charrsid15018161 d}{\cf1\insrsid6951014\charrsid15018161 uring the whole time of the meeting.}{\cf1\insrsid12526579\charrsid15018161 }{\cf1\insrsid9785089 \par \par (2) }{\cf1\insrsid6951014\charrsid15018161 Subject to the provisions of this section an owner}{\cf1\insrsid1123598\charrsid15018161 }{\cf1\insrsid9785089 may attend or}{\cf1\insrsid1123598\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 vote at any such meeting either personally or}{\cf1\insrsid9785089 by a proxy}{\cf1\insrsid1123598\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 appointed by him in writing. \par \par (3) Any owner who is under disability and for whom}{\cf1\insrsid1123598\charrsid15018161 }{\cf1\insrsid5267136 a trustee is in }{\cf1\insrsid6951014\charrsid15018161 office under Part XVII of the Cook Islands Act}{\cf1\insrsid1123598\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 1915 shall for the purposes of this Part of this Act be}{\cf1\insrsid1123598\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 represented by his trustee who may attend, vote and act at}{ \cf1\insrsid1123598\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 any meeting either personally or by a proxy in the same manner}{\cf1\insrsid1123598\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 and on the same conditions as if he were an owner. \par }{\cf1\insrsid1123598\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (4) No person claiming to be beneficially interested}{\cf1\insrsid1123598\charrsid15018161 in the estate }{\cf1\insrsid6951014\charrsid15018161 of a deceased owner shall be entitled to }{ \cf1\insrsid1123598\charrsid15018161 attend or vote at any such}{\cf1\insrsid6951014\charrsid15018161 meeting until and unless a vesting}{\cf1\insrsid1123598\charrsid15018161 order in respect}{\cf1\insrsid6951014\charrsid15018161 of his interest has been made by the Court}{\cf1\insrsid5267136 .}{\cf1\insrsid6951014\charrsid15018161 \par }{\b\cf1\insrsid1123598 \par }{\cf1\insrsid5267136 (5) No person shall act as proxy at any such meeting after the death of the person}{\cf1\insrsid8653820 who has given the proxy.}{\cf1\insrsid5267136 \par }{\cf1\insrsid8653820 \par (6) Any adult of full mental capacity shall be qualified to act as a proxy at any meeting of assembled owners. \par }{\cf1\insrsid5267136 \par }{\cf1\insrsid8653820 (7) Except so far as determined by this Act the procedure at any such meeting shall be determined by regulations under this Act. \par }{\cf1\insrsid8653820\charrsid5267136 \par }{\b\cf1\insrsid6951014\charrsid16663856 46. Recording}{\b\cf1\insrsid1123598\charrsid16663856 officer to attend meetings}{\b\cf1\insrsid5795557 }{\b\cf1\insrsid1123598\charrsid15018161 -}{\b\cf1\insrsid12526579\charrsid15018161 }{ \cf1\insrsid1383699\charrsid15018161 (1) For the purposes of every meeting of assembled owners there shall be an officer to be called the Recording Officer who shall act as Chairman of the meeting and as such shall keep a sufficient record of the proceedings.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid1383699\charrsid15018161 \par (2) The Registrar of the court or some other officer of the Land Court appointed for the purpose }{\cf1\insrsid7811121 b}{\cf1\insrsid1383699\charrsid15018161 y the Registrar shall be the Recording Officer. \par }{\b\cf1\insrsid6951014\charrsid15018161 \par }{\b\cf1\insrsid1383699\charrsid16663856 47. Voting at Me}{\b\cf1\insrsid6951014\charrsid16663856 eting}{\b\cf1\insrsid6951014\charrsid15018161 -}{\cf1\insrsid1383699\charrsid15018161 (1) Every resolution which a }{\cf1\insrsid6951014\charrsid15018161 meeting of assembled owners is authorised by this Act to}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 pass shall be deemed to be carried - \par }{\cf1\insrsid1383699\charrsid15018161 \par }\pard \ql \li720\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin720\itap0\pararsid1383699 {\cf1\insrsid6951014\charrsid15018161 (a) where the relative interests have been}{\cf1\insrsid1383699\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 defined if the}{\cf1\insrsid1383699\charrsid15018161 owners w}{\cf1\insrsid6951014\charrsid15018161 ho either}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 personally or by proxy vote in favour}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of the resolution own a larger aggregate}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 share of the land affected thereby than}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 the owners who vote either personally}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 or by proxy against the resolution; \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid12933760 {\cf1\insrsid1383699\charrsid15018161 \par }\pard \ql \li720\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin720\itap0\pararsid1383699 {\cf1\insrsid1383699\charrsid15018161 (b) where the relative interests have not bee n defined if the number of owners who either personally or by proxy vote in favour of the resolution is greater than the number of owners who vote either personally or by proxy against the resolution. \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid12526579 {\cf1\insrsid466005\charrsid15018161 \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6951014 {\cf1\insrsid6951014\charrsid15018161 (2) For the purpose of this section the value of}{\cf1\insrsid1383699\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 the}{\cf1\insrsid13115542 vote of the}{\cf1\insrsid6951014\charrsid15018161 owner of a beneficial freehold interest less}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid13115542 than the }{ \cf1\insrsid6951014\charrsid15018161 fee simple shall be computed as if he were the}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 owner in }{\cf1\insrsid10317604\charrsid15018161 fee simple of one half of }{ \cf1\insrsid6951014\charrsid15018161 his share and the value}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of the vote or votes of th}{\cf1\insrsid1383699\charrsid15018161 e}{\cf1\insrsid6951014\charrsid15018161 person or persons entitled in}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 remainder shall be similarly computed as if they were the}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 owners in fee simple of the other half share. \par \par (3)}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 A person acting as proxy for more than}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid13115542 one owner or a trustee or his }{\cf1\insrsid6951014\charrsid15018161 proxy acting for more than}{\cf1\insrsid1383699\charrsid15018161 }{\cf1\insrsid13115542 one person under disability shall}{\cf1\insrsid6951014\charrsid15018161 be entitled to exercise}{\cf1\insrsid13115542 one vote in respec t of each person for whom he so acts.}{\cf1\insrsid1383699 \par }{\cf1\insrsid13115542 \par }{\b\cf1\insrsid6951014\charrsid16663856 48. Assembled owners}{\b\cf1\insrsid8022572\charrsid16663856 may accept or reject or vary form of resolution submitted}{\b\cf1\insrsid16663856\charrsid16663856 }{\cf1\insrsid8022572\charrsid15018161 - (1) All resolutions shall be submitted to the meeting in the form in which they were set forth in the notice summoning the meeting.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid8022572\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2) In considerin}{\cf1\insrsid8022572\charrsid15018161 g any such resolution the owners may accept or reject the same or may adopt any such resolution with such modifications as they think fit.}{ \cf1\insrsid6951014\charrsid15018161 \par \par (3) Nothing in th}{\cf1\insrsid8022572\charrsid15018161 is foregoing provisions of this section}{\cf1\insrsid6951014\charrsid15018161 shall be construed}{\cf1\insrsid8022572\charrsid15018161 to limit the provisions of }{ \cf1\insrsid6951014\charrsid15018161 subsection (2) of section 44}{\cf1\insrsid8022572\charrsid15018161 hereof.}{\cf1\insrsid6951014\charrsid15018161 \par }{\b\cf1\insrsid8022572\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid16663856 49. Resolutions for alienation of land}{\b\cf1\insrsid6951014\charrsid15018161 -}{\cf1\insrsid6951014\charrsid15018161 (1) Except as}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 may be otherwise provided by Rules of the Court or unless}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 exemption from the requirements of this subsection is granted by the Court, every application for the confirmation of a }{\cf1\insrsid4807564\charrsid15018161 resolution for the alien}{\cf1\insrsid6951014\charrsid15018161 ation of land to any person other than}{\cf1\insrsid4807564\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 the Crown shall be supported by a valuation of the land to}{\cf1\insrsid4807564\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 which the resolution re}{\cf1\insrsid4807564\charrsid15018161 lates.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid4338841\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2)}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 In dete}{\cf1\insrsid4807564\charrsid15018161 rmining the adequacy of the consideration }{\cf1\insrsid6951014\charrsid15018161 the Court shall have re}{\cf1\insrsid4807564\charrsid15018161 gard to the valuation as aforesaid but shall not be bound to determine the adequacy of the consideration in conformity with that valuation.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid4338841\charrsid15018161 \par }{\b\cf1\insrsid6951014\charrsid9651291 54. \li720\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin720\itap0\pararsid4807564 {\cf1\insrsid6951014\charrsid15018161 (b)}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 Disallow the resolution. \par }\pard \ql \li0\ri0\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid6951014 land it shall not proceed to confirm the resolution unless the alienee consents to the proposed alterations or conditions.}{\cf1\insrsid6951014\charrsid15018161 \par }{\cf1\insrsid4338841\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (3)}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 If in}{\cf1\insrsid4281232\charrsid15018161 }{\cf1\insrsid9917152\charrsid15018161 the opinion of the court there has been }{ \cf1\insrsid4281232\charrsid15018161 undue delay in applyi}{\cf1\insrsid6951014\charrsid15018161 ng for or in proceeding with an application}{\cf1\insrsid4281232\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 for confirmation of}{ \cf1\insrsid4281232\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 any resolution the Court may refuse to}{\cf1\insrsid4281232\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 consider the application.}{ \cf1\insrsid4281232\charrsid15018161 }{\cf1\insrsid9917152\charrsid15018161 \par \par }{\cf1\insrsid10755821\charrsid15018161 (4) No appeal to the Land Appellant Court shall lie in from any order made by the court under this section other than an order made for the purpose}{\cf1\insrsid8205940 s}{\cf1\insrsid10755821\charrsid15018161 of paragraph (c) of subsection (1) of section 51 hereof. \par }{\cf1\insrsid4338841\charrsid15018161 \par }{\b\cf1\insrsid4945591\charrsid9651291 55}{\b\cf1\insrsid12526579\charrsid9651291 .}{\b\cf1\insrsid4945591\charrsid9651291 Court may adjourn}{\b\cf1\insrsid12526579\charrsid9651291 }{\b\cf1\insrsid6951014\charrsid9651291 proceedings for confirmation to }{\b\cf1\insrsid4338841\charrsid9651291 }{\b\cf1\insrsid4945591\charrsid9651291 allow partiti}{\b\cf1\insrsid6951014\charrsid9651291 on orders being made}{\b\cf1\insrsid6951014\charrsid15018161 -}{\cf1\insrsid6951014\charrsid15018161 (1) The Court}{ \cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 may from time to time postpone or adjourn the hearing of any}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 application for confirmation of a resolution for the alienation}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of any land so as to permit the making of an application}{\cf1\insrsid4338841\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 or of applications for partition. \par }{\cf1\insrsid4338841\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (2) In any such cas}{\cf1\insrsid4338841\charrsid15018161 e}{\cf1\insrsid6951014\charrsid15018161 the Court shall, as soon}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 thereafter as it thinks fit,}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 and notwithstanding the fact}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 that applications for partition may be pending, take the}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 resolution into further consideration and either disallow}{\cf1\insrsid4338841\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 the same or confirm it with respect to the residue of the}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 land after deducting the shares if any which have been}{ \cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 severed or are to be severed b}{\cf1\insrsid15817396\charrsid15018161 y way of }{\cf1\insrsid6951014\charrsid15018161 partition. \par }{\cf1\insrsid4338841\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (3)}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 No appeal to the Land Appellate Court shall}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 lie from any order made by the Court under subsection (2)}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of this paragraph other than an}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 order made for the purposes}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of paragraph (c}{\cf1\insrsid4338841\charrsid15018161 )}{\cf1\insrsid6951014\charrsid15018161 of subsection (1) of General provisions as to confirmations as to confirmation of resolutions}{\b\cf1\insrsid15821471\charrsid15018161 }{\b\cf1\insrsid4945591\charrsid15018161 -}{\cf1\insrsid4945591\charrsid15018161 (1) No}{ \cf1\insrsid8395085\charrsid15018161 resolution shall be confirmed by the court before the expiration of fourteen days after the day when the same was passed.}{\cf1\insrsid9853922\charrsid15018161 \par }{\cf1\insrsid8395085\charrsid15018161 \par (2) Except in cases }{\cf1\insrsid5583859 where }{\cf1\insrsid8395085\charrsid15018161 the hearing of an application for confirmation of a resolution of assembled owners is postponed or adjourned pursuant to section 55 hereof no such resolution s hall be confirmed after the expiration of twelve months from the day on which the resolution was passed and except as aforesaid every such resolution shall be deemed to have lapsed on the expiration of t}{\cf1\insrsid12526579\charrsid15018161 he said period of twelve months:}{\cf1\insrsid8395085\charrsid15018161 \par \par }{\cf1\insrsid12526579\charrsid15018161 P}{\cf1\insrsid8395085\charrsid15018161 rovided that the Court may on application made within six months after the lapse of a resolution extended}{\cf1\insrsid3955949\charrsid15018161 the same period of twelve months by a further period not exceeding twelve months and the resolution shall thereupon be deemed to have been revived as from the date on which it lapsed.}{\cf1\insrsid8395085\charrsid15018161 \par }{\cf1\insrsid3955949\charrsid15018161 \par }{\b\cf1\insrsid3955949\charrsid9651291 57. Confirmation of resolution for alienation not to constitute contract}{\b\cf1\insrsid15821471\charrsid15018161 }{\b\cf1\insrsid3955949\charrsid15018161 -}{\cf1\insrsid3955949\charrsid15018161 The confirmation of a resolution under this part of this Act with respect to the proposed alienation of any land shall not constitute a c ontract between the owners and any other persons or impose any obligations or confer any rights upon the owners or upon an intending alienee or other person. \par \par }{\b\cf1\insrsid6951014\charrsid9651291 58. On confirmation of resolution for alienation the}{\b\cf1\insrsid9976354\charrsid9651291 }{\b\cf1\insrsid6951014\charrsid9651291 Registrar to become agent of owners to execute}{ \b\cf1\insrsid3955949\charrsid9651291 instruments}{\b\cf1\insrsid12526579\charrsid9651291 ,}{\b\cf1\insrsid3955949\charrsid9651291 etc}{\b\cf1\insrsid12526579\charrsid9651291 .}{\b\cf1\insrsid15821471\charrsid15018161 }{ \cf1\insrsid3955949\charrsid15018161 -}{\cf1\insrsid12526579\charrsid15018161 }{\cf1\insrsid3955949\charrsid15018161 (1) conditions of any lease the Registrar shall become the }{\cf1\insrsid3955949\charrsid15018161 statutory agent of the owner}{\cf1\insrsid16729893 s}{\cf1\insrsid3955949\charrsid15018161 to}{ the }{\cf1\insrsid6951014\charrsid15018161 Registrar as agent of the owners}{\cf1\insrsid8602420\charrsid15018161 shall without confirmation }{\cf1\insrsid16519058 under}{\cf1\insrsid6951014\charrsid15018161 Part XVI of the Cook Isla}{\cf1\insrsid8602420\charrsid15018161 nds Act 1915 have the same }{\cf1\insrsid16519058 force and }{\cf1\insrsid8602420\charrsid15018161 effect as if it had been lawfully}{\cf1\insrsid6951014\charrsid15018161 executed by all}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid16519058 of the owners or their trustees}{\cf1\insrsid6951014\charrsid15018161 and as if those owners or}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 trustees had been fully competent }{\cf1\insrsid4338841\charrsid15018161 in that }{\cf1\insrsid6951014\charrsid15018161 behalf. \par }{\cf1\insrsid4338841\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (3)}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 Every instrument of alienation so executed by}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 the Registrar shall contain a statement or recital that he is}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 duly authorised to execute the same as the agent of the}{\cf1\insrsid4338841\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 owners under this part of this Act and every such statement}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 or recital shall be accepted by all Courts as prima facie}{ \cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 evidence of the facts so stated or recited. \par }{\cf1\insrsid4338841\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (4) Except as against a }{\cf1\insrsid4338841\charrsid15018161 p}{\cf1\insrsid6951014\charrsid15018161 erson guilty of fraud no}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 instrument of alienation executed by the }{\cf1\insrsid11538551 R}{\cf1\insrsid6951014\charrsid15018161 egistrar as agent}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 of the owners under this section shall be invalidated by any}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 breach or non-observance of the provisions of this Part of}{\cf1\insrsid4338841\charrsid15018161 }{ \cf1\insrsid6951014\charrsid15018161 this Act prior to the confirmation of the resolution or by}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 any repugnancy between the terms of the resolution and the}{ \cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 terms of the instrument of alienation executed in pursuance}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 thereof. \par }{\cf1\insrsid4338841\charrsid15018161 \par }{\cf1\insrsid6951014\charrsid15018161 (5)}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 The}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 owners shall not be competent to revoke}{ \cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 the authority of the Registrar to act as their agent under}{\cf1\insrsid4338841\charrsid15018161 }{\cf1\insrsid6951014\charrsid15018161 this section. \par \par }{\b\cf1\insrsid6951014\charrsid9651291 59.
